Serve as Ashby’s first Commercial Counsel supporting sales and procurement contracting for a high-growth SaaS company: review, draft, and negotiate customer and vendor agreements; build playbooks and scalable workflows; partner with sales, procurement, and legal operations; and drive process and strategic legal projects.

Provide corporate governance and securities support across Human Interest and subsidiaries; manage cap table, equity administration, board and stockholder actions; negotiate commercial agreements; support M&A, financings, IPO readiness, and outside counsel; build legal processes and playbooks; collaborate with Finance, People, and senior legal leadership.

Provide employment law counseling to the People Team (hiring, performance, terminations, sensitive matters), advise on non-exempt employee issues, lead internal investigations and policy development, and support regulatory investigations, privacy/security, litigation, and contract review in a fast-paced fintech environment.

Provide commercial legal support to enterprise and mid-market sales by negotiating complex agreements, advising on open-source/IP licensing, data governance, and regulatory compliance; build playbooks and scalable processes, mentor junior lawyers, and partner cross-functionally to accelerate deal velocity.

Lead legal operations to optimize processes and technology adoption. Manage legal tech and AI tools, vendor and outside counsel relationships, billing and matter management, budgeting and KPIs, knowledge management, compliance, board and stockholder administration, renewals, and equity plan administration. Build dashboards, improve workflows, and deliver training to enable attorneys to focus on strategic work.

Provide legal guidance across commercial agreements, regulatory, IP, employment, and international matters; lead contract drafting and negotiations; support strategic transactions, public company readiness, and corporate administration; collaborate cross-functionally and scale legal processes.

Provide broad in-house legal support across commercial contracts, regulatory compliance, employment, product, and corporate governance. Draft, review, and negotiate commercial agreements; advise Sales, Product, Finance, Support, and Operations; help build legal infrastructure for a scaling fintech; translate legal risk into practical guidance.

Lead commercial contracting across product groups, draft/review/negotiate supply, distribution, manufacturing, and vendor agreements, advise on risk, liability, IP, warranties, and termination, build templates/playbooks/workflows, support U.S. and EU transactions, export control compliance, M&A support, and drive process improvement.

Lead and develop the US commercial legal team while managing a portfolio of complex enterprise deals. Draft, negotiate, and counsel on commercial agreements, open source licensing, and privacy/data security matters. Align US practices with global legal strategy, partner with cross-functional teams, and provide practical, risk-calibrated advice to senior leadership. Negotiate with highly regulated customers across financial services, healthcare, defense, and insurance.

Part-time contract Legal Counsel to manage and streamline vendor contract reviews, provide holiday coverage, and potentially support deal desk functions. Must negotiate SaaS, privacy, AI, and commercial agreements, deliver clear, actionable advice (e.g., via Slack), and operate independently while balancing legal risk with business needs during US Eastern Time hours.
