Legal Counsel supporting Rapid7’s go-to-customer organization across the customer lifecycle. Responsibilities include drafting, reviewing, and negotiating SaaS, software licensing, NDA, services, SOW, and order form agreements; advising Sales, Finance, Privacy, Information Security, Procurement, and partner teams; supporting public-sector procurement and FedRAMP requirements; translating legal issues for non-legal stakeholders; and improving legal processes with AI-enabled tools.

Lead enterprise risk management and sell-side contract negotiation for advisory engagements. Manage teams to identify, assess, and mitigate contract, operational, and performance risks; redline and negotiate complex commercial contracts; develop internal controls and governance to ensure contract compliance; educate stakeholders and drive contracting process improvements while advising on business continuity and risk model implementation.

Administer an arbitration caseload under in-house counsel supervision, draft and file legal documents, prepare for hearings, track deadlines, maintain legal databases and attorney reporting, coordinate dispute resolution activities, process invoices, manage departmental mail, and support collections initiatives.

Manage the full lifecycle of defense contracts, subcontracts, purchase orders, modifications, and agreements. Evaluates liability exposure, meets statutory deadlines, identifies fraud and subrogation opportunities, manages claim reserves and settlement authority, and collaborates with internal departments, attorneys, healthcare providers, vendors, and brand partners to resolve claims and reduce risk.

Provides commercial legal guidance across global business operations by drafting and negotiating vendor, SaaS, technology, marketing, partnership, procurement, and services agreements. Advises stakeholders on contract, intellectual property, privacy, and compliance matters; builds scalable templates, playbooks, workflows, training, and self-service resources; and improves legal processes through automation and AI-enabled tools.

Provide securities and corporate governance paralegal support including preparing and reviewing SEC filings (10-K, 10-Q, 8-K, DEF 14A), supporting board and committee operations, maintaining governance records and insider trading/compliance processes, managing Section 16 and NYSE compliance, and maintaining domestic and international entity formalities.

Lead regulatory and industry engagement for Securities Services: monitor global regulatory developments, drive advocacy and strategy, liaise with FMIs and industry groups, prepare briefing and client materials, and develop client engagement and reporting to influence post-trade and custody product evolution.

Lead counsel on complex ceded and assumed reinsurance matters including drafting, negotiating, and advising on treaties, commutations, disputes, arbitrations, and transactional support; provide legal research, regulatory representation, and mentor junior staff.

Provide senior employment and labor law counsel to HR and business leaders globally, manage employment disputes and outside counsel, ensure compliance with federal/state/local laws, develop HR policy and training, and advise on workplace investigations, leaves, accommodations, performance management, terminations, wage-and-hour, hiring, and workforce restructuring.
