Greenberg Traurig (GT), a global law firm, has a full-time employment opportunity for a mid-level corporate associate with 3-5 years of experience representing venture capital investors and emerging growth companies to join our Venture Capital practice in our Boston or New York office(s). The associate will have the opportunity to join a growing, collaborative team advising prominent venture-backed companies and institutional investors across all stages of the company lifecycle.

The ideal candidate will have substantive corporate transactional experience on both the company side and the investor side of venture capital transactions. Prior experience at an AMLaw 50 law firm with a nationally recognized venture capital and emerging companies practice is strongly preferred. The role requires taking on responsibility for drafting and negotiating primary deal documents, managing diligence, and maintaining direct client relationships, with support from and collaboration alongside senior attorneys. Associates in this role will counsel venture-backed companies on entity formation, equity financings, securities matters and general corporate matters as they grow, while also advising venture capital funds and other institutional investors on investment structuring and transactions and portfolio matters. Candidates should demonstrate outstanding academic credentials, sound judgment, strong project management skills, and the ability to work effectively in leanly staffed, fast-paced deal teams while managing significant responsibility and client contact.

Candidates must have experience in the following:

  • Draft and negotiate transaction documents for Seed through late-stage venture capital financings, including term sheets, SAFEs, convertible notes, preferred stock purchase agreements, investors' rights agreements, voting agreements, and related instruments

  • Advise venture-backed companies on corporate formation, corporate governance, securities issuances, capitalization matters, and general corporate matters throughout the growth cycle

  • Represent venture capital funds and other institutional investors in connection with new investments and follow-on rounds

Candidates must be admitted to the Massachusetts and/or New York Bar or eligible for admission to the Massachusetts and/or New York Bar. The position requires residence in the Boston or New York office. The expected pay range for this position is:

$250,000 to $365,000

Salary will be determined based upon education, experience, job related factors permitted by law, internal equity, and market data, including geographic pay differentials in locations where market pay differs from the national average. Full time employees may be eligible for a discretionary bonus, health insurance with an optional HSA, short term disability, long term disability, dental insurance, vision care, life insurance, Healthcare and Dependent Care Flexible Spending Accounts, 401K, vacation, sick time, and an employee assistance program.  Additional voluntary programs include: voluntary accident insurance, voluntary life, voluntary disability, voluntary critical illness and cancer insurance and pet insurance.  Commuter and Transit programs may also be available in certain markets.
