The Opportunity

We are seeking an experienced Crypto Funds Attorney to join our team. The ideal candidate will have 5-10 years of experience in private fund formation, with a focus on both onshore (Regulation D) and offshore (Regulation S) offerings. This role is remote, offering flexibility for the right candidate, and will involve fund formation and management, with an emphasis on regulatory compliance in the context of emerging digital assets and crypto investments and supporting token sale offerings, as needed.

Key Responsibilities

  • Fund Formation & Structuring: Lead and manage the legal aspects of fund formation, including drafting and negotiating limited partnership agreements, private placement memorandums, and subscription documents for venture capital funds investing in new and early-stage crypto projects. Provide full product life-cycle counseling for a variety of platform products. You will ensure product compliance with applicable laws and regulations, in close collaboration with colleagues in Legal and Compliance teams.
  • Regulatory Compliance: Provide expert advice on SEC regulations, with particular emphasis on Regulation D (onshore) and Regulation S (offshore). Stay abreast of evolving crypto-related regulations, including the proposed Clarity Act and its implications on digital asset investments and private funds.
  • Legal Strategy & Counsel: Offer guidance to the firm’s leadership and investment team on regulatory matters, structuring transactions, and compliance strategies for crypto venture capital investments.
  • Cross-Jurisdictional Expertise: Work to navigate both U.S. and international regulatory environments, ensuring compliance with applicable securities laws, including those governing private investment funds and crypto assets.
  • Investor Relations & Fund Management: Oversee ongoing legal matters for the fund post-launch, ensuring that fund operations are in line with regulatory frameworks, although subsequent filings will not be directly handled by this role.
Requirements
  • Experience: 3-5 years of experience at a law firm, venture capital/private equity firm, or asset management firm with a focus on private fund formation and regulatory compliance.
  • Legal Expertise: Deep understanding of SEC Regulation D (onshore) and Regulation S (offshore), with a demonstrated ability to apply these regulations in the context of crypto-related investments.
  • Knowledge of Emerging Regulations: Familiarity with the proposed Clarity Act and other legislative efforts related to digital asset regulation.
  • Education: Juris Doctor (JD) degree from an accredited law school.

Preferred Skills

  • Excellent drafting and negotiation skills, with the ability to communicate complex legal concepts to non-legal stakeholders.
  • Experience advising on venture capital or private equity funds in the digital asset space.
Benefits

Base Salary Range

$168,000 - $200,000 + Equity

Salary ranges are for the US and Canada and are determined using competitive market data, and the final salary offer is commensurate with the candidate’s experience and jurisdiction.
