Summary

This Quantitative Analyst is responsible for assisting our corporate and private equity clients with quantitative modeling for evaluating and structuring transactions. This role collaborates with DLA Piper lawyers and clients on transactional matters requiring financial modeling support, proforma capitalizations, liquidation waterfalls, IPO S-1 models, and merger consideration spreadsheets.

Responsibilities

  • Creates and audits capitalization tables.
  • Designs and prepares economic analyses.
  • Designs and prepares analyses of allocations/distributions for LLCs and partnerships.
  • Supports price per share calculations associated with equity financings, stock option grants, debt/equity conversions.
  • Constructs liquidation waterfalls based on various deal scenarios.
  • Constructs payout spreadsheet deliverable that ties underlying capitalization data to the transaction structure as negotiated in the relevant deal documents.
  • Reviews payout spreadsheets provided by clients, banks, or other law firms.
  • Runs 280G, 409A penalty, ISO $100k limit, and 701 analyses.
  • Constructs pricing spreadsheet for pro forma capitalization in connection with IPOs, de-SPAC transactions, and other public offerings.
  • Designs and performs financial statement analysis to calculate and analyze financial metrics and ratios, if needed.
  • May perform other duties and projects as assigned.

Desired Skills

Has a strong interest in capital markets, emerging companies, venture capital, and M&A transactions. Has advanced proficiency in Excel, with the ability to design and perform complicated analysis; develop reports; write macros; produce documents; and create tables, graphs, and charts. Proficient in mathematical and statistical modeling. Exhibits analytical and critical thinking in the execution of routine and complex tasks. Has excellent written and verbal communication skills, enabling the clear presentation of complex quantitative insights and transaction analyses to diverse stakeholders. Skilled at fostering positive relationships and working collaboratively with internal teams and external clients to align transaction strategies with business objectives and client needs. Ability to work well under pressure by maintaining focus and delivering high-quality analyses and recommendations within tight deadlines during critical transaction cycles or client volatility. Must be an organized self-starter with the ability to handle many projects at one time and meet multiple concurrent deadlines.

Minimum Education

  • 4 Year / Bachelor's Degree In Economics, Accounting, Business, Finance, Mathematics, Applied Mathematics, or related field.

Minimum Years of Experience

  • 1 year of experience
  • Experience in corporate finance or financial transitions. Familiarity with corporate legal operations, law firm economics, and common transactional matter types preferred. Currently or prior experience working in a law firm or professional services environment preferred.

Physical Demands
Sedentary work: Exerting up to 10 pounds of force occasionally and/or a negligible amount of force frequently or constantly to lift, carry, push, pull or otherwise move objects, including the human body. Sedentary work involves sitting most of the time. Jobs are sedentary if walking and standing are required only occasionally and all other sedentary criteria are met.

Pay Transparency
The firm’s expected hiring range for this position is $140,000- $160,000 per year depending on the candidate’s experience, skills, educational and professional background, and overall qualifications. We offer a comprehensive package of benefits including medical/dental/vision insurance, and 401(k).
