Role Overview

The Senior Manager, Legal Operations will provide strategic leadership for the company’s legal operations function, focusing on optimizing processes and driving organizational efficiency. This role oversees those providing legal assistance to lawyers and attorneys in executing legal transactions, and securing, preparing, drafting, and processing legal documents at a more senior level. Working closely with executive leadership and Finance, the Senior Manager will define the operational roadmap for the legal department as the company scales.

The ideal candidate is a strategic leader with a proven track record of managing high-performing teams and implementing scalable legal technologies and workflows in a fast-paced environment.

Key ResponsibilitiesCorporate Governance & Entity Management
  • Direct corporate governance processes, including the maintenance of corporate records and governance documentation
  • Oversee and prepare the distribution of Board of Directors and committee meeting materials, resolutions, and related governance documentation
  • Coordinate Board and committee meeting logistics and documentation
  • Manage corporate entity structures and subsidiary records across domestic and international jurisdictions
  • Maintain corporate capitalization records and assist with equity administration coordination
  • Lead the legal operations teams, including performance management, coaching, and professional development initiatives
Securities & Public Company Compliance
  • Assist with preparation and filing of public company reports, including Forms 10-K, 10-Q, and 8-K
  • Support development and maintenance of disclosure controls and procedures
  • Coordinate with Finance and external counsel on securities law compliance matters
  • Maintain documentation related to insider trading policies and reporting requirements
Strategic Transactions & Corporate Projects
  • Support legal aspects of corporate transactions, including acquisitions, financings, and strategic partnerships
  • Assist with due diligence coordination and document management
  • Maintain transaction documentation and closing records
Legal Operations & Contract Support
  • Direct contract lifecycle management and legal documentation workflows to improve turnaround times
  • Manage legal department records, document management systems, and legal technology implementations
  • Assist with contract template management and workflow processes
  • Identify and implement process improvements and strategic planning for long-term department scalability
  • Coordinate signatures and approvals through electronic signature platforms

Compliance & Cross-Functional Support

  • Assist with development and maintenance of corporate policies and compliance programs
  • Partner with Finance, HR, and other teams to support governance and compliance initiatives
  • Track regulatory filings, deadlines, and corporate reporting requirements

 

Qualifications
  • 10+ years of legal operations or paralegal experience, with significant time in leadership capacity
  • Proven experience in a management role overseeing legal operations teams and complex workflows
  • Experience supporting corporate governance and securities compliance preferred
  • Experience at a public company or late-stage pre-IPO company strongly preferred
  • Prior law firm or in-house legal department experience
  • Strong knowledge of corporate governance processes and entity management
  • Experience supporting Board and committee meetings
  • Exceptional organizational skills and attention to detail
Technical Skills
  • Entity management platforms (e.g., Carta, Shareworks, or similar)
  • Document management systems
  • Electronic signature tools (e.g., DocuSign)
  • Microsoft Office and legal workflow tools
Leadership Profile
  • Strategic decision-maker with the ability to translate legal needs into operational solutions
  • Proven people leader focused on team development, mentorship, and performance excellence
  • Strong organizational influence with the ability to drive cross-functional alignment across Legal, Finance, and HR
  • High level of professionalism and discretion


This is a fully remote role with the option to work hybrid if a commutable distance from our Salem, OR, Pittsburgh, PA, or Fremont, CA offices.

The final salary offered to a successful candidate will be dependent on several factors that may include but are not limited to: market location, job-related knowledge, skills, and experience. This range may change based on geographical location and may be modified in the future.

Anticipated Base Salary Range
$145,000$227,000 USD

In addition to base pay, our competitive total rewards package consists of the following for full-time employees:
