Your role at Dynatrace
Dynatrace is looking for an experienced corporate lawyer to join its global Legal team. Reporting into the VP, Legal - Corporate and Sustainability, you will help support general corporate legal and public company matters and other projects within the Dynatrace Legal Team.
Your responsibilities will include:
  • Supporting Dynatrace's preparation of SEC filings, including annual/quarterly reports, proxy statements, and Section 16 reporting, and compliance with NYSE listing rules
  • Supporting corporate governance matters, including the preparation of materials for the Board of Directors and its committees and the company's annual meeting of stockholders
  • Supporting various Corporate functions (including Tax, Treasury, Accounting, People & Culture, Investor Relations, Communications, and Business Development) with various corporate matters related to the company's global legal organizational structure, banking and financing activities, equity plans, M&A, internal and external communications, and other initiatives
  • Designing and implementing various corporate-focused policies, guidelines, and procedures, including training and internal awareness initiatives
  • Providing guidance and advice to Dynatrace colleagues around the world on various corporate matters and questions
  • Monitoring legal and regulatory developments related to in-scope corporate areas and assessing their impacts on the company

This role is a hybrid position (2 days per week) out of our Boston, MA office.
What will help you succeed
Minimum Requirements:
  • Juris Doctor (J.D.) degree from an ABA-accredited law school, admitted to practice and in good standing in Massachusetts or another applicable state
  • At least 7 years of relevant work experience as a lawyer at a law firm and/or corporate legal department

Preferred Requirements:
  • Experience in general corporate and securities matters, including drafting, reviewing, and coordinating SEC filings for U.S. public companies
  • Collaborative, able to lead, strategically plan, work cross-functionally, consensus build, be a team player, and communicate effectively
  • Able to leverage business judgment, assess risks, and provide practical advice
  • Enjoy advising and presenting to business teams and other in-house legal professionals

Compensation and Rewards
DOE, salary $180K - $200K, plus Health, Dental, Life, STD, LTD, 401K, PTO. Total compensation may vary depending on candidate experience/education and location.
