About the job

As Senior Corporate Legal Counsel, Capital Markets at Adyen you will be responsible for the legal work related to our public listing in the Netherlands. This is a strategic role that is important to sound corporate governance practices and continued sustainable growth. The role requires someone effective at cross collaboration, who excels at decision making in a fast-moving complex environment. Extensive knowledge of and comfort with the Market Abuse Regulation is imperative to success. The counsel will drive discussions and decisioning on disclosure matters as well as advise on public filings and equity matters. The role forms part of Adyen’s larger corporate practice which covers corporate governance, litigation and disputes, and third party agreements. The corporate legal team is currently centered in Amsterdam and the United States but Adyen is a global company with offices, entities, and boards all over the world. 

What you'll do:

  • Review and advise on public filings as well as other disclosure documentation.
  • Manage insider trading and conflict of interest inquiries, procedures, and policies.
  • Ensure compliance with the Market Abuse Regulation.
  • Support the disclosure committee, driving strategic disclosure reviews and determinations.
  • Partner with Investor Relations and Communications on disclosure matters.
  • Advise on equity structures and incentive plans in partnership with HR and Rewards teams.
  • Consult with regulators and financial authorities such as the AFM.
  • Keep abreast of developments in relevant Dutch and European corporate legal matters.
  • Providing legal support and internal trainings on other corporate law matters as required.

What you bring

  • You are an attorney with at least 8+ years of corporate legal experience, either as a corporate attorney or in-house corporate counsel at a publicly listed company in an international setting.
  • You have strong knowledge of the Market Abuse Regulation (MAR) and related Dutch and European regulations.
  • You have familiarity with equity compensation structures.
  • You have experience interfacing with the AFM, supervisory boards, and management boards. 
  • You have excellent analytical, communication, and interpersonal skills.
  • You have the ability to structure and prioritize in a high volume, fast-paced, complex environment.
  • You can work independently as well as collaboratively, gathering appropriate input and making clear, well-reasoned decisions.
  • You are available to work from our Amsterdam office and travel to other offices periodically.
  • You are fluent in English and Dutch, both written and spoken.
