Job Summary:

As a Corporate Counsel specializing in project finance, you will be responsible for supporting our growing portfolio of solar funds. This role will provide legal guidance on project development, financing structures, and risk mitigation. The ideal candidate will have a strong background in structured finance, renewable energy transactions, and project development, with the ability to collaborate across teams to drive projects from inception to completion.

Primary Responsibilities:

  • Advise on all aspects of project financing, including tax equity, debt financing, and other capital structures.

  • Draft, review, and negotiate loan agreements, credit facilities, security documents, intercreditor agreements, and tax equity financing agreements.

  • Structure and negotiate residential solar fund transaction and ancillary documents.

  • Provide legal guidance on capital raises, joint ventures, and other transactions related to infrastructure and renewable energy projects.

  • Advise on risk management and mitigation strategies, particularly regarding financial structuring, tax implications, and contractual obligations.

  • Support due diligence efforts and corporate structuring issues.

  • Work closely with finance and tax teams to align legal strategy with business objectives.

  • Liaise with external counsel, lenders, investors, and regulatory bodies to facilitate transactions.

  • Provide internal training and guidance on best practices for project finance transactions and risk mitigation.

Required Skills:

  • Excellent contract negotiation and drafting skills.

  • Strong financial acumen with an understanding of project finance modeling.

  • Ability to work independently while collaborating across teams.

  • Exceptional problem-solving, analytical, and communication skills.

  • High attention to detail and ability to manage multiple transactions simultaneously.

Minimum Education and Experience:

  • J.D. degree from an accredited law school and active bar membership in at least one U.S. jurisdiction.

  • 7+ years of legal experience with a focus on project finance, energy transactions, and infrastructure development (law firm and/or in-house experience preferred).

  • Strong knowledge of debt and equity financing structures, including tax equity and renewable energy credit markets.

  • Experience negotiating complex project agreements and financing documents.

  • Strong understanding of FERC, IRS, DOE, and state-level energy regulations, with the ability to interpret and apply knowledge to business decisions.

Work Authorization: Applicants must be authorized to work in the US on a full-time basis. Unfortunately, a current or future need for sponsorship is not supported or available for this position.

Salary Range:

$110,850.00 - $177,360.00

*This range reflects base pay only. Incentive earnings, like commissions or bonuses, are not included.

This role is also eligible for an annual incentive plan based on company performance.
