The role: 

The Chief Compliance and Privacy Officer (CCO) is responsible for the leadership and direction of the corporate compliance program for PathAI, reporting to the General Counsel.  The CCO plans, designs, implements and maintains the corporate compliance program’s systems, policies and procedures that provides the basis for ensuring adequate internal controls that promote compliance with all laws and regulatory requirements applicable to PathAI.  In addition, the CCO is responsible for overseeing, developing and implementing PathAI’s policies, procedures and systems for protecting privacy of health information under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and personal data under The General Data Protection Regulation (“GDPR”) maintained by PathAI.  

In these roles, the CCO provides effective leadership, advice and counsel to the Board of Directors and senior management on matters of corporate compliance, privacy of health information and ethical business practices.  The CCO works to expand visibility for the corporate compliance program at all levels within PathAI, including by chairing risk management groups and communicating important compliance messages, and ensures that the corporate compliance program is integrated and institutionalized company-wide.  

Requirements: 

• Juris Doctor or equivalent.
• 10+ years experience directing a compliance program and/or practicing law in relevant areas of law for a biotechnology, medical device, health tech, or health care provider organization.
• Requires seasoned and sound judgment, productive collaboration across PathAI and demonstrated success in developing and implementing an effective and efficient compliance program.
• Experience with FDA regulation of medical devices.
• Knowledge of and experience with health information privacy and technology-related laws and regulations, including interoperability/information blocking rules.  
• Certifications as a Registered Health Information Administrator (RHIA), a Certified HIPAA Professional (CHP), a Certified Health Care Compliance (CHC) Professional, a Certified Professional Compliance Officer (CPCO) or similar certifications are a plus.  
• Working knowledge of CLIA, CAP and state laboratory licensure requirements are strongly preferred.

Essential Functions/Responsibilities (other duties may be assigned):

• Foster a culture of compliance and ethical business practices at PathAI.
• Oversee and monitor the implementation and effectiveness of PathAI’s Compliance Program, which includes the following:
• Oversee the development, distribution and implementation of PathAI compliance policies and procedures and Code of Conduct;
• Ensure that PathAI’s Board Audit and Compliance Committee and Corporate Compliance Committee are timely informed of all significant internal compliance issues and changes in the external environment that may impact PathAI’s compliance program, including through quarterly reports; 
• Oversee the development and implementation of PathAI’s compliance training, including with respect to health care compliance principles, generally, and PathAI policies and procedures;
• Develop and publicize open and effective lines of communication, including PathAI’s non-retaliation policy and an effective mechanism for anonymous disclosures;  
• Perform an annual risk assessment and internal review process to identify and address PathAI compliance risks;
• Conduct or oversee internal monitoring and auditing of day-to-day compliance activities;
• Undertake the appropriate investigation of compliance disclosures and other compliance issues as necessary; and 
• Develop and oversee implementation of corrective action plans, including by enforcing well-publicized disciplinary guidelines.
• Working with the General Counsel in functioning as the PathAI representative in meetings with federal, state and municipal agencies, including the Food and Drug Administration, the Office of Inspector General and the Office of Civil Rights of the U.S. Department of Health and Human Services, regarding regulatory policy and audits as well as working closely with the General Counsel regarding the need to self disclose identified breaches of protected health information, compliance issues and overpayments.  
• Develop and maintain collaborative relationships with key internal stakeholders to ensure understanding, support and collaboration for compliance activities. 
• Inform external stakeholders (such as ordering physicians) about the Program’s standards, including with respect to coding, billing and marketing, as appropriate.
• Maintain a current working knowledge of Federal and state laws and polices that may affect PathAI’s Compliance Program, and continually evolve the Program to meet changes in law, or the regulatory and enforcement environment.
• In collaboration with the Legal and Human Resources Departments, ensure enforcement of PathAI’s policies and procedures and Code of Conduct through appropriate training and, where necessary, disciplinary measures.
