What you'll do:
As a Commercial Legal Intern, you will dive headfirst into the intersection of law, business, and cutting-edge technology. With a specific emphasis on commercial contracting and procurement in the rapidly evolving tech sector, your day-to-day responsibilities will include:
- Commercial Contract Review & Analysis: Review and analyze vendor agreements, procurement contracts, SaaS agreements, and other commercial transactions, identifying key business and legal terms, risks, and opportunities for negotiation.
- Procurement Policy & Process Support: Assist in developing and updating internal procurement guidelines, vendor intake processes, and contracting playbooks to streamline commercial operations and ensure consistency across the organization.
- Vendor Risk Assessment: Support due diligence efforts for new and existing vendors, including reviewing vendor questionnaires, insurance certificates, compliance documentation, and conducting risk assessments for data processing, security, and business continuity.
- Drafting & Negotiation Support: Draft legal memos, redline summaries, contract playbook guidance, and negotiation position documents to support the Commercial Legal team in high-value technology and services procurements.
- Education: Recently graduated from, or currently enrolled as a 3L in, an ABA-accredited law school, with a graduation date of 2026 or 2027.
- Commercial Mindset: A strong demonstrated interest in commercial law, technology transactions, contract negotiation, and business operations.
- Analytical Rigor: Excellent legal research and writing skills, with the ability to distill complex contract terms into clear, business-friendly advice and risk assessments.
- Initiative: A self-starter mentality. You are comfortable navigating ambiguity and thrive in a fast-paced, highly collaborative environment.
- Ability to commit to a minimum 12 week fall internship, starting in September.
- In the office 3-5 days a week in the Austin office.
- Prior experience (internships, clinics, or pre-law career) in procurement, commercial transactions, vendor management, or in-house legal departments at a technology company.
- Coursework or experience in contract law, commercial transactions, or technology/SaaS licensing.
- Prior experience in software development, programming, or technology product management.
- Familiarity with Cloudflare's products, cloud computing infrastructure, SaaS business models, and technology vendor ecosystems.
