Position Summary

We’re looking for a business-minded Legal & Compliance Manager to own commercial contracting and help strengthen AdAction’s privacy and compliance practices. Your initial priorities will include managing contracts from drafting to execution and partnering with internal teams on data privacy and information security requirements.

You'll serve as the company's primary internal legal resource, working closely with executive leadership, Sales, Business Development, Finance, Product, and Engineering to support commercial agreements, manage legal risks, and navigate the evolving regulatory environment affecting mobile advertising. You’ll help teams identify risks, translate requirements into practical solutions, and coordinate with outside counsel when specialized legal advice is needed.

This is a hands-on role for someone who enjoys working directly with the business. We're looking for someone who can balance legal considerations with commercial objectives, communicate clearly with non-lawyers, and provide practical solutions that help the business move forward.

You'll have the opportunity to take meaningful ownership of AdAction's day-to-day legal matters while working with outside counsel when specialized expertise is needed.

Responsibilities
  • Draft, review, and negotiate a wide range of commercial agreements, including advertiser and publisher insertion orders (IOs), master service agreements (MSAs), data processing agreements (DPAs), nondisclosure agreements (NDAs), technology and licensing agreements, partnership agreements, and vendor contracts.
  • Support negotiations with advertisers, publishers, vendors, and other partners, balancing business objectives with appropriate contractual protections.
  • Maintain and improve standard agreements, contractual templates, and negotiation guidelines.
  • Advise on applicable data privacy and protection laws, including GDPR, CCPA/CPRA, other U.S. state privacy laws, and relevant international privacy requirements.
  • Liaison with Product, Engineering and other internal teams as needed on data collection, processing, consent, disclosure, retention, and international data transfers, aligning internal process with regulatory requirements.
  • Maintain and update the company's privacy policies and related legal documentation.
  • Advise on advertising and consumer protection laws applicable to AdAction's business, including relevant Federal Trade Commission (FTC) requirements.
  • Provide legal guidance on rewarded advertising, user incentives, promotional mechanics, advertising disclosures, and other consumer-facing advertising practices.
  • Monitor relevant regulatory developments and industry guidance affecting performance marketing, mobile advertising, and rewarded engagement.
  • Advise on Apple App Store, Google Play, and other applicable platform policies affecting mobile advertising, rewarded engagement, and app monetization, including platform requirements relating to incentivized advertising, user rewards, attribution, tracking, and advertising disclosures.
  • Monitor material changes to platform policies and provide guidance on their potential impact on AdAction's business.
Experience & Qualifications
  • Hold a Juris Doctor (JD) degree and are admitted to practice law and in good standing in at least one U.S. jurisdiction.
  • Bring at least 3 years of relevant experience in legal operations, commercial contracting, auditing, or compliance, preferably within technology, digital advertising, mobile apps, SaaS, or a related industry.
  • Strong commercial contracting skills and experience drafting, reviewing, and negotiating business agreements.
  • Working knowledge of data privacy requirements, particularly GDPR and U.S. privacy regulations, with the ability to help teams apply those requirements to business processes.
  • Possess an understanding of advertising and consumer protection law, or a demonstrated ability to develop expertise in these areas.
  • Comfortable evaluating commercial terms and understanding their practical financial and operational implications.
  • Comfortable working with technical teams to understand data flows and security practices and communicate that information clearly to business stakeholders.
  • Proactive, organized, and comfortable managing multiple priorities in a fast-paced environment.
  • Excellent written and verbal communication skills.
