ON.energy is seeking an Executive Legal Counsel – Commercial Contracts & Energy Infrastructure to lead legal strategy for complex commercial agreements across our energy storage, power infrastructure, and emerging data center energy solutions. This executive-level role will oversee the negotiation, structuring, and governance of high-value contracts with utilities, hyperscale data center operators, energy developers, equipment suppliers, and infrastructure partners. The Executive Legal Counsel will serve as a strategic advisor to senior leadership, enabling project development, infrastructure financing, and long-term commercial partnerships while ensuring legal compliance and risk management.
Strategic Legal Leadership
- Lead the legal strategy for commercial contracting across energy infrastructure projects.
- Advise executive leadership on legal considerations related to project development, infrastructure partnerships, and power supply agreements.
- Support the structuring of strategic partnerships.
Complex Contract Negotiation
Lead negotiation and drafting of sophisticated agreements including:
- Energy storage project agreements
- Power purchase agreements (PPAs)
- Energy services agreements (ESAs)
- Data center energy supply agreements
- Engineering, Procurement & Construction (EPC) contracts
- Equipment supply and technology licensing agreements
- Interconnection and grid services agreements
- Joint development and partnership agreements
- Vendor and procurement contracts
Data Center & Digital Infrastructure Energy Solutions
Provide legal support for energy solutions serving hyperscale and colocation data centers, including:
- Power solutions
- Microgrid and energy resilience systems
- Long-term power supply agreements
Advise on contractual structures enabling reliable and scalable power infrastructure for digital infrastructure customers.
Infrastructure Transactions
- Support legal aspects of project financing, joint ventures, and infrastructure investment partnerships.
- Collaborate with finance and development teams on legal structures for project-level investment and asset ownership.
Risk Management & Governance
- Identify and mitigate commercial, regulatory, and operational risks in complex infrastructure agreements.
- Develop internal frameworks for contract approval, risk review, and governance.
- Ensure compliance with energy market regulations and infrastructure standards.
Contract Lifecycle & Process Optimization
- Oversee the company’s contract lifecycle management systems and processes.
- Develop standardized contract templates for recurring infrastructure agreements.
- Improve efficiency in contract negotiation and execution across the organization.
Cross-Functional Leadership
- Partner with development, engineering, finance, procurement, and commercial teams.
- Provide legal training and guidance across the organization on contracting and risk management.
- Build and mentor a high-performing legal and contracts team as the company scales.
Qualifications
- Juris Doctor (JD) from an accredited law school
- Licensed to practice law in at least one U.S. jurisdiction
- 12+ years of legal experience, with substantial focus on commercial and infrastructure contracts
- Significant experience in energy, power infrastructure, or digital infrastructure sectors
- Demonstrated experience negotiating large-scale project and energy agreements
- Prior in-house counsel experience in energy, infrastructure, or technology sectors preferred
