The Senior Counsel, Sustainability & Governance will report to the VP & Chief Counsel, Governance, Sustainability and Assistant Corporate Secretary. The Senior Counsel has primary responsibilities for supporting sustainability legal matters, as well as aspects of the Mondelēz global corporate governance operations.

Salary and Benefits:
The base salary range for this position is $142,700 to $235,455; the exact salary depends on several factors such as experience, skills, education and location. In addition to base salary, this position is eligible for participation in a highly competitive bonus program with possibility for overachievement based on performance and company results and eligibility to participate in our long-term incentive program. In addition, Mondelez International offers the following benefits: health insurance, wellness and family support programs, life and disability insurance, retirement savings plans, paid leave programs, education related programs, paid holidays and vacation time. Some of these benefits have eligibility requirements. Many of these benefits are subsidized or fully paid for by the company.
Within Country Relocation support available and for candidates voluntarily moving internationally some minimal support is offered through our Volunteer International Transfer Policy

Specific responsibilities of the Senior Counsel include, but are not limited to:
- Advise on Sustainability Legal Matters:
- Identify, evaluate and address issues of legal risk and compliance in a rapidly evolving sustainability landscape, including advising on sustainability-related claims, third-party partnerships and sustainability investments.
- Provide enabling legal counsel on sustainability-related goals, initiatives, programs and policies, as well as preparation and review of materials for the Mondelēz Board and relevant Committee presentations.
- Advise on sustainability-related external and internal communications, including corporate disclosures and external statements, to help ensure accuracy, consistency and alignment with applicable legal and regulatory standards while managing potential risks.
- Assess and advise on sustainability-related regulatory developments, including sustainability-related reporting and disclosures, in jurisdictions both inside and outside the United States, and partner with local legal and business teams to provide guidance at a global level to manage potential risks and enable compliance.
- Help enable the enterprise to advance its sustainability strategy in a thoughtful and purposeful way, advising on global goals, plans, positions and policies, including the development and review of related corporate policies, guidelines and trainings.
- Support Corporate Governance and Corporate Documentation and Drive Related Projects:
- Assist, in close coordination with the Corporate Secretary and Assistant Corporate Secretary, on board and committee related matters, annual meeting of shareholders, shareholder engagement and corporate governance developments, including drafting agendas, preparing and reviewing board mailing materials, resolutions, minutes, and other meeting materials to ensure compliance with corporate law.
- Manage board and committee meeting logistics and facilitate board communications.
- Facilitate the orientation of new Directors and assist in Director training and development.
- Identify, evaluate, and address issues of legal risk in corporate governance context and maintain key corporate documents and records.
- Provide additional support on other matters and assume other responsibilities, as assigned.
Qualifications & Skills
- Juris Doctor with strong academic credentials from a nationally recognized law school.
- Licensed to practice law in Illinois or eligible for admission upon hire.
- 5 years + practicing in ESG and/or U.S. Corporate Governance law.
- Prior major law firm experience or relevant in-house legal experience is preferred.
- Board advisory experience, combined with a strong grasp of corporate governance.
- Strong analytical, decision-making, and problem-solving skills, with ability to quickly assess and advise on risk.
- Strong communication skills and ability to interact with all organizational levels, including senior management.
- Excellent organizational, project management, and technological skills to maintain complex records and systems.
- Highest level of integrity and trust.
- Resourcefulness, including relevant new technologies and systems.
