About the Role
The Contracts Manager II/Associate Counsel provides overall support for multiple projects, coordinates with cross functional divisions, and supports the contracts team to accomplish departmental key objectives and goals.
What You'll Do
Lead negotiator and informal escalation point.
Review and negotiate Purchase Orders for compliance and alignment with EULAs, Contract Vehicle Terms and related statutes and regulations
Handle contract activity with moderate to high risk inclusive of working with more complex BU's
Analyze and communicate contractual guidance on RFQ's/RFPs, Purchase/Task Orders and Modifications, and other attendant documents as needed
Draft and negotiate teaming agreements, master subcontracts, and review Statements of Work
Provide input on other projects as time permits (e.g. data policies, document retention policies, vendor agreements)
Assist with the drafting and negotiation of commercial non-disclosure, partner and new client agreements
Support proposal terms review, negotiation and award of several large MAS and GWAC contracts in addition to a variety of state and cooperative agreement IDIQ contracts
Develop process, documentation, self-services tools and training for internal stakeholders to improve and streamline processes and ensure compliant and timely responses
Develop understanding of more complex suppliers
Possess a global understanding of the business through aggregator model
What We're Looking For
Bachelor’s degree and JD and active law license
Prior experience as a counsel
2-5 years’ experience as a Senior Contracts Manager
Experience negotiating software license agreements and other technology-focused transactions (e.g. Cloud, Software, Big Data)
Quick learner and highly efficient team member with proven problem solving skills in a demanding and fast paced work environment.
General computer proficiency and working knowledge of MS Office applications suite (Word, Excel, PowerPoint).
Superior organizational, internal and external customer-service and inter-personal skills
Strong business acumen, excellent problem solving and communication skills
Ability to work with varying organizational levels, including Sales staff, managers, and external stakeholders.
Significant attention to detail; ability to review and digest contract documents and balance risks against the bigger picture
Advanced understanding of contract/Purchase Order terms and conditions and detailed knowledge of the government contracting process including sole source and competitive procurements
Comprehensive knowledge of the terms and conditions appropriate for different contract types (FFP, CPFF, CPIF, T&M, IDIQ, etc.) and their proper use
Detailed knowledge of source selection / evaluation process
Detailed knowledge of government contract administration processes including subcontract flow downs, change management, inspection, acceptance, payment, warranty, close-out and records retention
Detailed knowledge and thorough understanding of proper contract draft, negotiation and use of contracts, subcontracts, teaming and other forms of agreements
Strong background in the use and application of the Federal Acquisition Regulations (FAR) and Defense Federal Acquisition Regulations Supplement (DFARS)"
