We are seeking a Corporate Counsel I to join our team. This is a hybrid opportunity based out of Waltham, MA.
Job Summary
The Corporate Counsel I is responsible for working proactively as a liaison and business partner with the global enterprise sales and services organizations. This role will partner to facilitate the revenue generation and legal review processes with opportunity to expand into other areas based on experience and business needs. This position will provide legal advice and counsel to internal clients, at all levels, within the commercial operations for Imprivata's business units and support day-to-day activities. This position reports to the Director & Senior Legal Counsel.
Duties and Responsibilities
  • Ensure compliance with legal, contractual, and risk management policies to minimize and limit corporate liability, manage risk, and optimize value of contracts.
  • Identify contractual risks and issues and suggest alternatives that lead to optimal solutions.
  • Liaise with domestic and international business units at all levels throughout the organization in support of legal and compliance initiatives.
  • Manage the review and negotiation of a wide variety of supplier, customer, vendor, partner, and channel agreements.
  • Partner with sales team members to ensure that the sales process is running as efficiently as possible.
  • Initiate and develop improvements for training sales personnel and the efficient closing of transactions with reduced need for negotiations.
  • Support the Sr. VP of Legal in corporate secretarial functions and other miscellaneous matters. (i.e., Developing and implementing appropriate best practice corporate governance policies and procedures.)
  • Operate with limited supervision and provide a high level of balanced judgment, identify potential legal issues and propose solutions to mitigate risk.
  • Other duties as assigned and required.

Required Qualifications
  • JD with 2-4 years of experience negotiating software and technology contracts; law firm and in-house mix preferred.
  • Solid knowledge of intellectual property, SaaS licensing, and enterprise sales support.
  • Skilled in contract negotiation and risk assessment with enterprise customers.
  • Proven ability to provide business-focused legal advice and work in fast-paced environments.
  • Familiarity with revenue recognition principles and data privacy laws (e.g., HIPAA, U.S., and EU regulations).
  • Effective communicator with excellent writing and interpersonal skills; comfortable engaging with executive leadership.
  • Proficient in O365, Salesforce, NetSuite, and related enterprise tools.
  • Collaborative team player with a practical, solutions-oriented approach to legal problem-solving.

This position offers a total compensation range of $138,800.00 - $148,800.00 (inclusive of base salary and variable compensation, such as bonuses and incentives). In addition, more information about Imprivata's benefit offerings can be found here. This range represents the high and low end of Imprivata's compensation range for this position. Actual compensation will vary and may be above or below the range based on various factors, such as a candidate's location, skills, experience, and qualifications.
