Role Overview

We are seeking a Commercial Counsel with a strong background in negotiating and managing commercial contracts, particularly in a global SaaS or cybersecurity setting. The ideal candidate will have at least 5 years of experience working with commercial transactions and 3 years of global partner agreements, and will be comfortable advising internal teams across a variety of business functions.In this role, you’ll work closely with our GTM Sales, Channel/Alliances, Product, and Finance teams to support our growing customer and partner ecosystem. You’ll help scale legal processes to support rapid growth while protecting the company from unnecessary risk.

What You’ll Do

  • Draft, negotiate, and manage a broad range of commercial agreements, including NDAs, software evaluation agreements, SaaS subscription agreements, master service agreements, reseller, managed service providers and distributor agreements, and data processing agreements (DPAs).

  • Provide legal guidance to Sales and Channel teams on a host of commercial matters, including global partner and channel programs, with a particular focus on structuring scalable, compliant relationships with resellers, managed service providers, distributors, and other partners.

  • Collaborate cross-functionally with Sales, Finance, Product, and Compliance teams to support global go-to-market activities.

  • Support contract workflows for enterprise customer transactions, ensuring timely and business-aligned legal review.

  • Assist in developing and maintaining legal templates, playbooks, and training materials for internal stakeholders.

  • Advise on international legal considerations related to commercial transactions, including privacy, data protection (e.g., GDPR), and export control.

  • Contribute to broader legal and compliance initiatives as needed in a fast-paced startup environment.

What You’ll Bring

  • J.D. or equivalent legal degree from a US law school with license to practice law in the US, preferably California or Georgia.

  • 3–5+ years of legal experience with direct exposure to commercial contracting and partner/channel agreements, including in-house experience supporting a SaaS or cloud-based software business.

  • Strong drafting, negotiation, and risk management expertise with a demonstrated ability to balance business enablement with risk mitigation.

  • Expertise in negotiating and closing complex SaaS commercial agreements, including NDAs, master SaaS agreements, evaluation agreements, data privacy agreements, reseller/MSP/distributor agreements, and other channel contracts.

  • Bonus: Experience working with Managed Service Providers (MSPs) or structuring agreements for MSP business models.

  • Excellent organizational skills with the ability to triage a high volume of matters, set priorities, and deliver efficiently.

  • Ability to remain adaptable while building in a shifting environment, while leading with humor.

  • Competency as a critical thinker and proactive problem solver, with a willingness to roll up your sleeves to get into the details and drive creative solutions.

  • Knowledge of privacy and data protection regulations (e.g., GDPR, CCPA) and how they impact SaaS transactions.

  • Demonstrated experience partnering with Sales, GTM leadership, Deals Management, Legal Operations, and other cross-functional teams (including Revenue Recognition, Sales Ops, and Tech Ops) to support revenue-driving transactions and ensure agreements align with corporate policies and processes, including channel business initiatives.

In accordance with various State’s transparency regulations, we provide the following salary range information for this position:

  • Total Compensation: $109,000 - $185,000 annually. The exact salary will be determined based on the selected candidate’s location, qualifications, experience, and relevant skills. We believe in fair and competitive pay. To reflect differences in local markets, our salary bands are set by geographic tier (Tier 1 or Tier 2) and will be applied based on the candidate’s location.

  • Additional compensation: All full-time roles are eligible for an equity package in the form of stock options.
