Reports to: Legal Counsel, Commercial                               

OVERVIEW 

Element Critical is seeking to add a remote Associate Counsel to the Business Operations and Legal team within the Austin, TX or Tampa, FL areas, who aligns with our company values of accountability, integrity, grit, and problem-solving. This role will be responsible for the data center development contracts function within the organization (procurement, design & engineering, and construction) and will provide legal support to other departments as needed. Responsibilities will include preparation, negotiation, and management of commercial contracts and subcontracts.  

RESPONSIBILITIES

Responsibilities will include but not be limited to the following:

  • Manage the data center development contract lifecycle
  • Draft and negotiate commercial design & construction contracts and related documents, including AIA forms
  • Provide legal guidance to the data center development team, including procurement, design & engineering, and construction business units
  • Assist with completing municipality forms and applications related to the development and maintenance of our data centers
  • Draft and maintain contract templates, legal workflows, and organization systems for managing legal documents
  • Analyze and interpret applicable laws, rulings and regulations to assess businesses impact and mitigate legal risks
  • Lead the negotiation and administration of contracts in accordance with internal policies and compliance requirements
  • Assist management with drafting and reviewing non-development related contracts and forms as needed
  • Special projects assigned by manager

REQUIREMENTS & QUALIFICATIONS

The ideal candidate will possess the following:

  • JD or equivalent degree required; licensed attorney preferred 
  • 1-2 years of relevant legal experience (including internships)
  • Exposure to construction and real estate law (academic or professional) is strongly preferred
  • Experience with AIA software or standard AIA construction contracts is preferred 
  • Exceptional technology skills, including proficiency using Microsoft Office  
  • Familiarity with legal principles, contract law, and compliance frameworks, particularly within construction and real estate sectors
  • A strong attention to detail and focus on administering established policies and procedures   
  • A strong combination of an ability to work independently and also as part of a tight-knit team of highly-motivated professionals in a fast-paced design/ construction environment
