The Role

We are seeking a Vice President, Deputy General Counsel to join our Legal & Compliance Team.  This role will lead our legal team supporting corporate, commercial, employment and insurance. Ideal for a hand-ons, and experienced enterprise commercial counsel who also enjoys a broad mix of day to day work and managing and building a small team focused on the same goals. The role will be responsible for supporting Cedar’s commercial sales and strategic partnerships, vendor contracting, and corporate legal support for the company, including strategic transactions, cap table and equity administration, board & corporate governance, and day-to-day corporate matters as they arise, as well as overseeing and supporting employment law issues. This role reports into the General Counsel.

This is a unique opportunity to lead these efforts on behalf of the Legal & Compliance Team, and so we need a strong corporate counsel with strong drafting and negotiation skills, who enjoys and excels at their craft and is a solid strategic partner to the business, and also overseeing and teaching this craft.  

Responsibilities

  • Support business teams in structuring, drafting and negotiating complex commercial agreements, particularly Cedar’s commercial sales, vendor partnerships and strategic transactions.
  • Provide assistance with corporate legal matters, such as cap table and equity administration, board meeting preparation, corporate approvals, partnership and advisor agreements, fundraising, M&A, and insurance.
  • Oversee and support employment law matters, including managing part time employment support and outside counsel.
  • Develop, refine and keep up to date standard templates for Cedar’s business, including standard commercial contracts (MSA, SOWs, order forms), NDAs, license agreements, advisor and consulting agreements, etc.
  • Partner with our operations and other teams to improve and evolve our CLM tools and legal processes to leverage technology and derive business intelligence from commercial contracts.
  • Support business teams in a wide range of contracts, including customer agreements, vendor agreements, service level/support agreements, software license agreements, consultant agreements, marketing agreements, and non-disclosure agreements.
  • Manage, guide, mentor, and develop a team of legal professionals.
  • Oversee and engage outside supplemental legal resources (like Axiom) and outside counsel.
  • Contribute as a team player to help further the status of the Legal & Compliance department as an effective, respected, and valued resource within the company.
  • Periodic travel to New York and other locations for company and team meetings (typically ~1x per quarter).

Required Skills & Experience

  • JD Degree from an accredited law school and license in good standing to practice law in at least one state bar.
  • 15+ years relevant legal experience at a top law firm and/or in-house (a combination is a plus), with experience managing other people and a minimum of 5 years focused experience in healthcare technology transactions and/or enterprise SaaS.  Experience with AI contracting, employment law and/or insurance experience is a strong plus.  
  • Previous experience in tech/start-up/emerging growth companies preferred.  
  • A caring and motivational manager, capable of attracting, developing and advancing great talent and leading a distributed team, drawing on strengths to achieve common goals
  • Excellent commercial negotiation and drafting skills, including prior experience building and maintaining contract templates.
  • You get excited about plain English legal drafting and process building, the use of technology to improve legal services, and how to make contracting more straightforward and streamlined.  
  • Keen business and legal judgment. You know when to say yes or no, but you also know when to escalate concerns, consult a colleague or talk someone through a complex issue.  
  • You value commercial relationships, and have experience in managing and negotiating directly with other large organizations and their in-house legal departments.

Compensation Range and Benefits

  • Salary Range*: $272,000 - $340,000
  • This role is equity eligible
