Summary:

We are looking for a seasoned, high-performing commercial attorney to join our legal team. This position will serve as a key partner supporting strategic and enterprise account sales in a fast-paced global cybersecurity technology environment. You will need to be nimble and results oriented, ensuring key transactions progress and close in a timely fashion. This position requires the ability to effectively negotiate and manage large complex commercial transactions across a variety of industries in the B2B space. You must confidently manage customer negotiations and deliver on-time and on-point advice to the transaction team based on a sound understanding of the company’s business and operations. Critical experience includes top-notch problem-solving skills and expertise balancing pragmatic solutions with appropriate legal and operational risk management.

This position reports to the VP & AGC, Commercial.

What You'll Do:
• Lead customer negotiations, drafting, and deal management for large complex commercial transactions with enterprise customers across different verticals
• Partner with regional leadership to align quarterly business requirements and ensure delivery to agreed timelines
• Manage pipeline and workload for assigned accounts in current and out-quarters to ensure timely closing of customer contracts in line with forecast
• Maintain a well-versed understanding of the company’s business strategy, products and operations to provide effective counsel and legal oversight that furthers strategic objectives while incorporating appropriate compliance and risk management
• Collaborate with commercial legal and cross-functional teams to appropriately address financial and operational considerations
• Partner with cybersecurity, regulatory and compliance teams to advise and manage transaction-related privacy and regulatory matters
• Identify and regularly report on key segment trends and considerations to influence commercial and operational strategies
• Drive awareness of legal compliance and risk management guidelines
• Support continuous improvement and process automation initiatives, including delivery of legal enablement, training, and guidelines
• Other duties and assignments to support internal stakeholders and enhance and improve processes for execution of the company's strategies


What You'll Need:
• JD from an accredited law school; admitted and in good standing with at least one state bar in the U.S.
• 15+ years legal experience in business and transactional law in the technology industry, with 10+ years direct experience managing and negotiating large complex software, SaaS and related technology sales transactions with global enterprise customers; prior in-house experience required and national or regional law firm experience a plus
• Extensive experience providing sound legal counsel and leading negotiations to completion in an effective and efficient manner
• Expertise with a range of technology sector commercial models, including by way of example, software licensing, SaaS, terms of use, enterprise terms, evaluation and trials, professional services, strategic ventures and distributor and partner/alliance agreements.
• Solid working knowledge of global legal considerations applicable to B2B software licensing and SaaS, including international commercial laws, cross-border transactions, IP rights, data privacy and security and commercial rights and remedies
• Strategic thinker with ability to work independently through issues, evaluate risks and choices and make sound judgment even in the face of uncertainty
• Ability to prioritize and work with a sense of urgency; works with agility and is able to pivot seamlessly as needed; thrives in a fast-paced environment, delivering work quickly, on time and proficiently internally and externally
• Strongly collaborative with a high touch customer service approach to working with internal stakeholders and delivering on customer needs

• Excellent time management, organizational skills and attention to detail
• Exemplary written and verbal communication skills
• Proficient with technology, including Microsoft Office 365 (Word, PowerPoint, Excel, Outlook, Teams); experience working with cloud based CLM platforms
