About the team & role:

The Rubrik Commercial Legal Team is responsible for managing global commercial contracts and related revenue-based transaction matters. This position is for an experienced, business-oriented attorney with a passion for structuring and negotiating complex strategic alliance, technology partnership, and original equipment manufacturer (OEM) agreements. You'll work cross-functionally to enable Rubrik's product and go-to-market strategies through impactful partnerships.

Where You Can Make an Impact

  • Lead complex negotiations: Structure, draft, and negotiate a wide range of sophisticated product alliance agreements, including strategic partnership agreements, OEM agreements, technology licensing agreements (inbound and outbound), joint development agreements, and other complex commercial arrangements critical to Rubrik's product roadmap.
  • Strategic legal counsel: Provide proactive and practical legal advice to senior stakeholders, including Product, Engineering, and Growth & Monetization teams, on legal risks and opportunities associated with new product initiatives, technology integrations, and strategic partnerships.
  • Risk mitigation: Identify and assess legal risks related to product alliances, including intellectual property, data privacy, security, regulatory compliance, and indemnification, and develop practical mitigation strategies.
  • Cross-functional collaboration: Collaborate closely with Product Counsel, Commercial Counsel, Privacy, Security, Finance, and other internal teams to ensure alignment and consistency across all legal aspects of product alliances.
  • Product launch support: Advise on legal requirements for product launches involving third-party integrations or technologies, ensuring compliance with relevant laws and internal policies.
  • Agreement lifecycle management: Support the entire lifecycle of alliance agreements, from initial structuring and negotiation through amendment, termination, and advice on ongoing compliance.
  • Form development & training: Develop and refine form agreements, playbooks, and internal training materials related to product alliances and technology partnerships.
  • Stay current: Monitor and advise on relevant legal and regulatory developments impacting technology partnerships, intellectual property, and cloud services.
  • Drive efficiency: Employ strong project management, prioritization, and organizational skills to effectively manage multiple work streams and meet business objectives in a fast-paced environment.

Ideal Background

  • JD degree with 8+ years of demonstrated experience in complex technology transactions, with a strong emphasis on product alliances, strategic partnerships, OEM, and technology licensing agreements, gained at a reputable law firm plus at least 4 years in-house at a technology company.
  • Proven track record of success independently leading and closing sophisticated, high-value alliance deals.
  • Deep understanding of intellectual property law as it relates to technology licensing and product development.
  • Proficiency in data security and data privacy laws and regulations (e.g., GDPR, CCPA, HIPAA) in the context of data sharing and processing in partnerships.
  • Experience working closely with product, engineering, and business strategy teams on strategic initiatives.
  • Exceptional analytical, problem-solving, and communication skills, with the ability to translate complex legal concepts into practical business advice.
  • Independent, proactive, and business-oriented with excellent judgment and a strong work ethic.
  • Ability to thrive in a high-volume, dynamic, and revenue-driven environment.
