As professionals, Private Investment Fund Senior Paralegals are offered opportunities to play key roles on our client teams while also developing themselves to the highest caliber. Senior Paralegals at Goodwin work side-by-side with attorneys to provide high-quality, cost-effective legal services on each of our sophisticated fund matters. Private Investment Fund Senior Paralegals collaborate with attorneys on complex fund formation, investor onboarding, and regulatory compliance matters across a wide range of private investment vehicles.
What You Will Do:Prepares and reviews fund formation documents, including limited partnership agreements, operating agreements, subscription documents, and side letters
Coordinates and manages investor onboarding processes, including KYC/AML compliance and subscription tracking
Assists with regulatory filings, including Form D, Form ADV, and other SEC and state filings
Maintains fund and entity records, including organizational charts and minute books
Coordinates closings and capital calls, including preparation of closing binders and investor communications
Conducts research on securities laws, investment adviser regulations, and fund-related compliance matters
Interfaces directly with clients, fund administrators, and service providers to ensure seamless execution of fund-related transactions
Develops and implements best practices for fund documentation, investor communications, and compliance workflows
Who You Are:
BA/BS degree
For applicants in California Paralegal Certification in compliance with California Business and Professions Code Section 6450 required in California
Outside California, Paralegal Certification from ABA accredited institution preferred
5+ years of experience in private investment funds or related legal practice
Expertise in fund administration platforms
Advanced proficiency with Microsoft Word and Excel; experience with document automation tools preferred
Strong organizational as well as verbal and written communication skills
High level of attention to detail
Capable of handling multiple responsibilities at the same time
Adept at planning ahead and meeting deadlines
Ability to work well in a team-oriented environment
Deep understanding of private investment fund structures, investor onboarding, and regulatory frameworks
Ability to independently manage complex fund transactions and investor communications
Demonstrated ability to apply prior knowledge to new fund structures and client needs
Strong client service orientation with an understanding of fund sponsor and investor priorities
Proactive in staying informed of changes in fund-related regulations and market practices
Skilled in managing multiple priorities and deadlines in a fast-paced environment
Familiar with technical tools, software and programs associated with the function
