Legal Counsel
for our nonprofit organization. Reporting to the Executive Vice President, this role provides comprehensive legal
support
and counsel across the organization and its supported organizations. The
Senior
Legal Counsel
will oversee a broad portfolio of corporate legal matters, including nonprofit and tax law, corporate governance, regulatory compliance, lobbying, intellectual property, data privacy, employment matters, and transactional work.
This role is both hands-on and advisory, requiring sound judgment, strong nonprofit
expertise

Salary Range: $138,000 - $190,000

What
You'll
Do:
- Provide general corporate legal counsel on matters arising from the day-to-day operations of tax-exempt nonprofit organizations.
- Advise on
nonprofit
governance
best practices, including bylaws, policies, board structures, fiduciary duties, and conflicts of interest, to ensure continued compliance with 501(c)(3) requirements. - Serve as legal advisor to senior leadership and the Board of Directors on governance, risk management, and regulatory matters.
- Provide legal support on employment law matters, working closely with human resources and leadership.
- Provide
legal guidance on lobbying, advocacy, and other regulatory compliance matters applicable to nonprofit organizations. - Oversee domestic data privacy and data protection compliance, including advising on applicable laws and supporting the development and maintenance of compliance programs.
- Draft, review, negotiate, and manage a wide range of contracts.
- Manage the organization's intellectual property portfolio, including trademarks and licensing arrangements.
- Conduct legal research and analysis and provide clear, actionable legal advice across a broad range of issues.
- Manage legal operations, including engagement and oversight of outside counsel and responsibility for the legal budget.
About You:
- Juris Doctor (J.D.) from an accredited law school.
- Minimum of
5
- 8 years of experience in general corporate legal practice;
prior in-
house and/or large law firm experience strongly preferred. - Active member in good standing of at least one U.S. state bar.
- Demonstrated
expertise
in nonprofit law, tax-exempt organizations, and corporate governance. - Excellent legal research, writing, and verbal communication skills.
- Proven ability to manage multiple priorities and meet deadlines in a fast-paced environment.
- Strong judgment, discretion, and problem-solving skills.
- Commitment to the mission and
objectives
of the organization. - Ability to work from the organization's Boston office at least two days per week.
