Your Impact:

Mirakl is looking for a Senior Commercial Counsel for the Americas region, with support as needed for APAC. The Senior Legal Counsel will report to our Head of Commercial Legal, and will provide primary support for our Sales, Alliance, and Customer Success teams. Mirakl’s global Commercial Legal Team is composed of high performing and tech-savvy business lawyers who meet and manage critical needs across the organization, advance and protect business goals, structure and manage commercial agreements, and collaborate on issues at the cutting edge of technology, eCommerce, Adtech, and financial services.

What you will do at Mirakl

  • Drafting, reviewing, and directly negotiating a variety of commercial agreements for access to Mirakl’s technology, including SaaS/cloud service agreements, data processing agreements (DPAs), security schedules, reseller/distribution agreements, partner and referral program agreements, confidentiality agreements, requests for proposal (RFPs), business associate agreements, order form, and more.
  • Negotiating with key customers, partners, suppliers, and resellers
  • Collaborating with Sales, Finance, and other departments such as Marketing and HR to support our Boston office and US operations.
  • Supporting and counseling the Senior Sales and Field Finance staff members on best practices.
  • Developing creative and compliant solutions to resolve complicated business challenges.
  • Closely collaborating with our global Commercial Legal team and company-wide legal team

What Mirakl is looking for in a candidate

  • Juris Doctor from an ABA accredited law school or equivalent and qualified to practice as an in-house attorney
  • Proven experience in the software-as-a-service industry, directly negotiating critical SaaS and IT transactional agreements with large, enterprise-level customers (6 to 8 years minimum) 
  • Previous experience as in-house legal counsel (6 - 8 years minimum)
  • Ability to negotiate agreements without a playbook
  • Comfortable negotiating data processing agreements (with working knowledge of privacy frameworks such as GDPR, CCPA, PIPEDA)
  • Experience in Indirect Sales / Partner programs
  • Excellent communication skills, with concise drafting of documents and messages designed to be digestible for non-legal audiences
  • Ability to be a trusted business partner, supporting various stakeholders, with knowledge of in-house sales and operational related concepts, such as revenue recognition
  • Resourceful, with experience managing workload on tight timelines with multiple competing demands
  • Thrives in and appreciates a diverse and international organization, with stakeholders from various national and cultural backgrounds
