We are seeking a highly skilled Senior Director, Legal Attorney – Corporate and Procurement to provide strategic legal support across corporate governance, capital markets, M&A, refinancing, and procurement. The successful candidate will ensure compliance with regulatory requirements, manage complex transactions, and provide expert legal counsel on governance matters.

ABOUT THE ROLE & TEAM:

TelevisaUnivision is seeking a highly skilled Senior Director, Legal Attorney – Corporate and Procurement, to provide strategic legal support across corporate governance, capital markets, and bank financing transactions, as well as procurement. The successful candidate will ensure compliance with regulatory requirements, manage complex transactions, and provide expert legal counsel on governance and commercial matters.

YOUR DAY-DAY:

Corporate Legal

  • Corporate Governance & Compliance: Ensure compliance with corporate formation documents, shareholder approvals, and related party transactions.
  • Capital Markets & Financing: Support legal matters related to capital markets, debt covenants, bank financing transactions, and refinancing.
  • Mergers & Acquisitions (M&A): Lead, structure, and execute M&A transactions, strategic investments, and joint ventures.
  • Subsidiary Management: Oversee legal aspects of subsidiary governance, including entity management, regulatory compliance, and reporting.
  • Securities & Public Disclosures: Advise on regulatory filings, investor relations, and corporate disclosures, including earnings releases and press statements.
  • Regulatory Monitoring: Stay abreast of corporate governance developments, industry regulations, and best practices to mitigate legal risks.
  • Cross-Functional Collaboration: Partner with finance, business development, investor relations, and compliance teams to align legal strategies with corporate goals.

Procurement Legal

  • Contract Negotiation: Draft, review, and negotiate procurement agreements, including technology licenses, IT and engineering services, facilities management, professional services, and vendor partnerships.
  • Vendor & Supplier Agreements: Ensure procurement contracts align with business objectives while mitigating legal and financial risks.

YOU HAVE:

  • J.D. from U.S. accredited institution
  • Minimum of 10 years of legal experience with a strong corporate law background, including governance, M&A, capital markets, and compliance.
  • Proven experience managing subsidiary governance, public company obligations, and regulatory compliance, as well as experience handling complex procurement agreements and vendor negotiations.
  • Currently licensed to practice law in at least one state; eligible to practice in New York.
  • Ability to make effective and persuasive presentations to all levels of management.
  • Strong analytical and problem-resolution skills; exceptional business judgment, with the ability to think strategically and give practical advice by balancing business needs with legal risks.
  • Comprehensive knowledge of local, state and federal securities laws and practices.
  • Consistently demonstrate clear and concise written and verbal communication.

Exact compensation may vary based on skills, experience, and location. Please note the national salary range listed in the job posting reflects the new hire salary range across levels and U.S. locations that would be applicable to the position.

Salary Range: $200,000 - $230,000 + benefits
