Job Summary

Reporting to the General Counsel, the Senior Director, Corporate Counsel will serve as a critical member of the legal team and a strategic legal advisor to senior management and cross-functional teams, including Finance, Business Development, Investor Relations, and Human Resources. This individual will provide strategic counsel on complex corporate transactions, ensure compliance with applicable laws and regulations, including managing the Company’s SEC filings, securities offerings and annual meeting, advise on corporate disclosures and external communications, and help shape the company’s governance framework. The ideal candidate has deep experience supporting public or late-stage private biotech companies, thrives in a science-driven environment, can interact effectively and cross-functionally with internal business clients at various level of management across the company, and is skilled at balancing legal risk with business objectives.

Key Responsibilities

Corporate & Governance
  • Support compliance with SEC rules and regulations, including leading the preparation and review of 10-Ks/Qs, 8-Ks, Section 16 filings, annual reports and proxy statements, securities offerings, and other related filings.
  • Collaborate and provide legal guidance on external communications, including earnings releases, press releases, and investor presentations and communications.
  • Advise senior management and the Board of Directors on corporate governance matters, including drafting and reviewing board materials, charters, policies, and minutes.
  • Manage corporate entity structure and ensure compliance with corporate requirements. Provide strategic guidance on corporate policies, ethics, securities law compliance, and insider trading matters, and advise on matters related to equity plan administration.
  • Partner with and advise the HR team on employee relations matters.
Contracts & Transactional Support
  • Advise on and support key strategic transactions, including business development and financing transactions, and related legal due diligence activities.
  • Draft and negotiate a wide range of complex agreements in support of the Company’s business development, research, and clinical development objectives.
  • Lead contracts management team and operations and develop contract templates, playbooks, and processes to improve efficiency and ensure alignment and execution of business objectives.
Regulatory & Compliance
  • Advise on legal issues related to drug development, clinical trials, FDA/EMA regulatory requirements, data privacy, and patient-facing programs.
  • Help build and maintain a robust corporate and healthcare compliance program, including training, policy development, and monitoring.
  • Ensure adherence to industry regulations, including FDA, HIPAA, GDPR, anti-kickback, and other relevant U.S. and international laws.
Risk Management & Operations
  • Identify and manage legal risks across the enterprise, providing pragmatic solutions that advance business objectives.
  • Manage outside counsel effectively, ensuring high-quality service and cost control.
  • Contribute to strategic planning and decision-making as a key member of the Legal leadership team.
  • Manage Board of Directors communications platform, virtual data room and Compliance hotline as well as corporate record book.

Qualifications

  • JD from an accredited law school; current bar member in good standing in Massachusetts.
  • 8-10+ years of legal experience, including substantial time working with life sciences/biotechnology clients.
  • Prior in-house experience strongly preferred; public company experience is a plus.
  • Expertise in corporate governance, securities law, and life-sciences transactions.
  • Strong background negotiating complex scientific, clinical, and corporate agreements.
  • Familiarity with regulatory frameworks and compliance considerations for drug development.
  • Self-motivated, flexible and interested in working on a wide range of legal matters to understand and advise the Company on the legal implications of its business strategy.
  • Exceptional communication, leadership, and relationship-building skills.
  • Demonstrated ability to work in a dynamic, fast-paced, highly cross-functional environment.
  • Strategic and analytical thinker with strong business judgment and the ability to distill complex legal issues into practical guidance.
  • High integrity, sound judgment, and commitment to ethical practices.
  • Proactive, solutions-focused, and able to influence at all levels of the organization.
  • Comfortable navigating ambiguity while maintaining attention to detail.

The anticipated salary range for candidates for this role will be $248,000 – $325,000.  The final salary offered will depend on several factors, which may include, but is not limited to relevant years of experience, educational background, industry knowledge, technical skills and other factors that may prove relevant during the interview process.
