Senior Counsel/Associate General Counsel (Corporate/Commercial)

The Senior Counsel/Associate General Counsel (Corporate/Commercial) will be a licensed in-house attorney to provide legal support and leadership to Owlet in the areas of corporate and securities, commercial, risk management and general business areas, with 7+ years of experience.
Primary Responsibilities
- Provide proactive, forward-thinking, and responsive guidance to business leaders on corporate, public company governance and commercial activities.
- Assist the Company in all public company governance matters, including corporate and securities governance and transactions and preparation of SEC filings and internal corporate documents, acting as assistant corporate secretary to the Board and its Committees.
- Manage public company equity transactions, including insider trading policies, stock preclearance issuances, securities law analysis, and associated SEC and NYSE issues.
- Prepare, negotiate and review commercial, sales and strategic contracts.
- Partner with functional groups within the Company on corporate and commercial transactional work, lending/financing matters, insurance policies and programs, business operations and risk management.
- Develop and/or provide other strategic legal supports based upon individual skills, experiences and interests (e.g., labor, technology, litigation or life sciences).
- Help lead and implement legal operations that scale and drive department activities and initiatives.
- Lead special projects/initiatives and other duties as may be assigned by General Counsel and Corporate Secretary.
Requirements
- J.D. from an accredited law school and licensed, in good standing, in one or more states to practice law.
- 7+ years of relevant experience, with corporate securities experience at reputable corporate law firm and/or publicly traded companies preferred.
- Flexible and agile problem solver, with the ability to tolerate ambiguity.
- Demonstrated ability to balance legal and business risk with commercial opportunity.
- Strong communication skills and comfort addressing both junior staff and senior leaders.
- Self-motivated, self-directed, and capable of working with minimal direction.
- Ability to navigate corporate cross-functional teams, collaborate effectively, and drive decision making.
- Good sense of humor and a genuine interest in relationship building across remote teams.
- Excellent interpersonal and communication skills.
- Working experience with key software platforms, Microsoft Office, Google Workspace, Shareworks, IronClad, Workiva, preferred.
- Knowledge of negotiation best practices, in both in-person and written form.
- Knowledge of FDA, FTC, Healthcare/Medical Device laws, and Data Privacy regulations a plus, but not required.
