This is a hybrid remote position in the Greater Boston metro area.

We are currently seeking a passionate, highly motivated, and experienced candidate for the position of Manager, External Reporting & SOX. This individual will be responsible for preparing SEC filings, supporting the Company’s Sarbanes-Oxley compliance and assisting with technical accounting research related to complex accounting transactions or new and proposed accounting standards. In addition, this individual will assist with managing the Company’s equity plan administration and play a key role in the Company’s month-end close processes. The position reports to the Associate Director, External Reporting & SOX and will work closely with the VP, Global Financial Controller.

Key Accountabilities:

External Reporting

  • Support the preparation of Forms 10-K, 10-Q, 8-K and Proxy Statement including drafting financial statement footnotes and MD&A (using Active Disclosure software)
  • Responsible for coordinating, completion of, and maintaining supporting documentation for footnotes, MD&A and other relevant areas of external reporting
  • Prepare US GAAP and SEC disclosure checklists
  • Conduct disclosure benchmarking research
  • Manage the financial statement tie out process including coordinating with external auditors
  • Assist with the creation of various management and Board related reporting, including audit committee results, disclosure committee materials, etc.

Technical Accounting & Internal Controls

  • Perform technical accounting research as needed and prepare memos documenting conclusions and proper accounting treatment
  • Support and coordinate SOX compliance efforts, including documentation of SOX Risk Assessment, updates to flowcharts, narratives and control matrixes as well as facilitating testing of controls with external advisors
  • Manage and oversee internal and external auditors related to control audits

Equity Administration

  • Assist with the stock administration process, including coordinating with People and Legal teams, reviewing employee equity awards, and assisting with communications to employees regarding their equity compensation
  • Own the ASC 718 stock compensation and equity accounting processes, including stock-based compensation, expense calculation and assumption evaluation
  • Prepare all equity related disclosures for SEC filings as needed

Accounting

  • Assist with preparation and review of other month-end close processes, including ownership of technical topics such as ASC 842 leases, equity method investments, variable interest entities and non-controlling interests
  • Special projects and other duties as necessary.

Education, Experience and Skills necessary for the role: 

  • Bachelor’s Degree in Accounting or Finance
  • CPA required
  • 4-6 years of progressive accounting experience
  • Public and industry experience preferred, e.g. time in a similar role on a small team and a role in public accounting at a big four with direct experience working on public clients reviewing SEC filings and internal controls
  • Life science / biotech experience preferred
  • Strong knowledge and understanding of US GAAP, SEC and SOX requirements
  • Net Suite, Active Disclosure and Shareworks experience preferred
  • Strong communication skills (verbal and written) and ability to confidently engage with executives and stakeholders
  • Detail-oriented with strong problem-solving, time management, and multitasking abilities
  • Self-motivated, organized, and comfortable working in a fast-paced hybrid team environment
  • Ability to handle sensitive information with confidentiality
  • Ability to successfully manage multiple projects with competing priorities and tight deadlines
