The Opportunity
In this individual contributor role you will interact with sophisticated business partners and legal colleagues on a variety of general corporate legal matters which may include, among other things, working on commercial contracts, privacy and security related matters, insurance risk management, corporate finance and investment management, and employment. This is not a litigation related position.
The Team
You will be an integral part of MassMutual's Corporate Law team, which is responsible for supporting the legal needs of MassMutual's corporate units including procurement, insurance risk management, compliance, privacy, information technology, and finance and investment management.
The Impact
Under limited guidance of an attorney, provides support service to attorneys with responsibilities to generally include, among other things, reviewing and interpreting complex legal documents, drafting legal documents, participating in negotiations and investigations, conducting legal research and analysis and advising attorneys on results, drafting legal and business communications and other correspondence, preparing regulatory filings and assisting attorneys with other general corporate matters that may arise. Interacts with all levels, including leaders in the organization.
Specific responsibilities and focus for this role will include, and are not limited to:
- Perform in-depth review of a variety of commercial contracts to identify legal issues and/risks, present results of analysis/review to attorneys, procurement, or business partners, as appropriate,
- Review and consult on MassMutual insurance requirements, create related training materials, and assisting and assisting the procurement and business teams with vendor contracts to ensure insurance requirements are appropriate and insurance risk matters, present results of analysis to attorneys, business partners, as appropriate,
- Conduct legal research related to commercial contracts, licensing, privacy and security related questions, among other general corporate matters and advising attorneys on results orally and in writing
- Advise on intellectual property matters (e.g., copyright, trademark, patent).
- Experience with documentation associated with intercompany transactions a plus. Support corporate law team professionals with other general corporate law matters as may be required.
The Minimum Qualifications
- Either: (a) Bachelor's degree in Law, business or related major plus a paralegal certificate from an accredited program and 5 years experience as a paralegal in a corporate environment or (b) a paralegal certificate from an accredited program with at least 10 years as a paralegal in a corporate environment.
- A minimum of 5 years legal research and writing experience
- Demonstrated experience in a corporate legal department related to commercial contracting, privacy and data security, and other general corporate matters.
- Experience with interpreting and identifying internal insurance requirements, creating related training materials, and assisting the procurement and business teams with vendor contracts to ensure MassMutual's insurance requirements are appropriate.
- Proficient in Microsoft Office Suite
- Strong verbal and written communications skills, demonstrated ability to instill confidence
- Accountable, self aware; strong organizational skills, able to multitask, embrace change and manage well under pressure
- Intellectually curious; seeks to understand, demonstrated problem solving acumen
- Demonstrated ability to be agile when confronted with new challenges.
The Ideal Qualifications
- 10 years experience in a corporate law department, with experience working on complex corporate matters as described herein.
