Corporate Paralegal
Our Opportunity:
Chewy seeks a well-rounded Corporate Paralegal to join its growing legal department in Boston, MA.The right candidate will have proficiency in handling a wide variety of corporate matters including corporate governance and board management, corporate compliance, business and professional licensing, contract and document management, and a willingness to expand into new substantive areas to support business needs.
What You'll Do:
- Corporate Governance and Board Management:
- Assist with preparing board and committee materials, including assembling meeting books using an electronic board portal
- Draft corporate resolutions, minutes, and similar documents and ensure executed documents are filed
- Assist in managing the corporate secretary mailbox, calendar and communications
- Support annual stockholder meetings (planning and logistics), including administrative aspects of distribution of proxy statements
- Contract and Document Management:
- Lead file and record management across the legal team
- Support Commercial Contracts Team in keeping centralized records of current contracts
- Organize, maintain, and keep current various form libraries, corporate policies, legal documents
- Corporate and Business Licensing:
- Assist with the organization’s business, corporate, and professional (e.g., pharmacy related) license portfolio across all jurisdictions
- Correspond with registered agent, licensing service providers, and internal stakeholders to follow up on applications or renewals, supply requested information, and ensure any open issues are addressed in a timely and appropriate manner
- Adhere to strict internal and external deadlines and manage a tracking/reminder system
- Backup Functions:
- Support members of the legal team across all practice areas as needed
- Assist with securities compliance matters
- Legal Department administration
What You'll Need:
- Bachelor’s degree and/or paralegal studies certificate required
- 5+ years of experience as a paralegal or similar legal role at a law firm or in-house
- Self-starter with exceptional organization skills and meticulous attention to detail
- Strong interpersonal skills, and ability to communicate and collaborate with individuals at all levels in and out of the organization
- Ability to problem solve and think critically with minimal supervision
- Excellent working knowledge of Microsoft PowerPoint, Word, Excel and online research tools; willingness to own/maintain relevant software. Experience with Board management software preferred
- Common sense, great judgement, and a good sense of humor
- Position may require travel
