The Corporate Counsel will drive key legal best practices and initiatives, provide strategic direction, and provide expertise for the full scope of the legal function for our company. The Corporate Counsel will be a trusted advisor for company leadership and responsible for negotiating transactions with prospective customers, vendors and partners. 

We prefer someone on the East Coast/Central region.

Responsibilities: 

• Lead global cutting-edge technology transactions, including agreements for SaaS, cloud, software and professional services. 
• Own the contracting and negotiation process throughout the entire lifecycle of the transaction. Coordinate input and effort of internal teams (e.g., sales, finance, solution engineering and security) to steer deals to closure. 
• Draft, review and redline commercial contracts, and engage extensively with customers, vendors and partners. Conduct principled negotiations with integrity. 
• Counsel business leadership on all legal, contractual and regulatory matters. Clearly communicate complex issues, realistic exposures, and practical recommendations. 
• Develop straightforward contract templates that reduce time to deal closure. Refine a repeatable SaaS contract model which enables continuity across the product portfolio.
• Train internal sales teams on contract terms and deployment. 
• Create contract frameworks to support various go-to-market models (strategic partner, reseller, distributor, OEM etc…).
• Advise product development teams on matters related to data privacy, intellectual property and regulatory compliance. 
• Analyze first-of-a-kind situations, anticipate potential problems and future trends, assess opportunities, impacts, and risks. Develop and implement solutions.

Skills, Education, Experience Requirements:

• 3-7 years of experience in the legal department of a multinational company or law firm supporting commercial technology transactions;
• JD from a recognized institution with a strong academic background;
• Licensed to practice law in a US jurisdiction; 
• Experience supporting a sales organization and negotiating technology agreements; 
• Knowledge of relevant data privacy laws and ability to negotiate substantive privacy terms and documents. 
• Strong word processing skills with proficiency in Google Docs and Microsoft Office Suite;
• Outstanding oral and written communication skills;
• Strong work ethic, organizational skills, and attention to detail;
• Team player that demonstrates sound judgment and integrity;
• Ability to deliver high-quality work product under tight deadlines;
• Eager to learn and take ownership of diverse initiatives.
