The Role

LeafLink is seeking a business-minded and pragmatic Corporate Legal Counsel to join our legal function during a critical stage of growth. The ideal candidate must be a confident self-starter who can prioritize and lead multiple tasks and responsibilities with agility, efficiency, and a dose of good humor. This role will report to the Head of Legal and work cross-functionally with leaders across product, engineering, finance, operations, and go-to-market teams.

This individual supports LeafLink’s business by providing legal advice regarding compliance with laws, corporate governance, and customer and partner contract management. They will partner closely with teams across LeafLink to support the company’s growth, innovation, and governance by advising on all aspects of corporate law and governance matters. Will play a central role in supporting the company’s strategic initiatives, advising on regulatory matters, managing commercial relationships, mitigating risks, and providing insight on all contracts and other legal matters. This position requires a hands-on attorney who is comfortable operating in a fast-paced environment, balancing risk management with practical business solutions, and contributing as both a lawyer and strategic partner.

The ideal candidate is an organized self-starter who enjoys solving complex problems in a highly regulated industry.

What You’ll Be Doing 
  • Serve as a strategic legal partner on commercial, regulatory, and operational matters
  • Serve as conduit to outside counsel to field relevant matters
  • Work with outside regulatory counsel to help navigate evolving regulatory frameworks and support the company’s compliance obligations
  • Draft, review, negotiate and interpret commercial agreements including enterprise customer contracts, banking and fintech services agreements, technology partnerships, and data licensing agreements.
  • Partner closely with Sales and Go-to-Market teams to support deal velocity and provide practical legal guidance and support strategic initiatives including partnerships, corporate development opportunities and new product launches
  • Provide practical legal guidance across a range of areas including commercial transactions, regulatory matters, product development, privacy, employment, and corporate governance
  • Build and maintain our commercial legal infrastructure, including contract templates, playbooks, process improvements and legal workflows
  • Support board and investor governance matters, including preparation of board materials and minutes
  • Identify and escalate legal risks appropriately while supporting business growth
  • Stay current on legal developments affecting AI technologies
Who You Are
  • You have the ability to work quickly and independently in a dynamic, fast-paced environment
  • You have significant experience in drafting, negotiating and interpreting commercial and transaction agreements relating to SaaS, FinTech products and services, master services, data licensing, technology, and general commercial transactions
  • You have broad legal knowledge that enables you to spot and resolve a variety of legal issues in upcoming product offerings (e.g., regulatory, contract, IP, privacy, consumer protection, risk); and an ability to identify and clearly communicate practical, risk-based solutions.
  • A problem solver with a "let’s get it done" attitude combined with a willingness to roll up your sleeves and pitch in where needed. 
  • Team player with a curiosity and willingness to roll up your sleeves and get into the details of novel and complex business models.
What You’ll Bring to the Team
  • J.D. from an accredited law school and active membership in good standing with a U.S. state bar.
  • At least 3-5 years of legal experience, a combination of top-tier law firm and in-house experience preferred with exposure to commercial contracts, SaaS agreements, or technology transactions.
  • Strong interpersonal skills, with the desire and ability to develop productive and collaborative working relationships with multiple stakeholders across LeafLink
  • Strong experience drafting and negotiating complex commercial agreements.
  • Impeccable written and oral communication skills and the ability to communicate effectively with legal and non-legal audiences at all levels of the organization.
  • Experience advising companies operating in regulated industries, fintech, payments, SaaS, or technology businesses is preferred.
  • Excellent at understanding complex topics as well as finding streamlined solutions to complex issues that address appropriate levels of risk.
  • New York or California Bar membership

Base salary range
$150,000$185,000 USD
