*This is a hybrid position. We are looking for someone who can commute to Boston, MA on Tuesday and Thursday.

About the Role 

We are seeking a dynamic and business-minded Legal Counsel to provide strategic legal guidance across a broad range of commercial, regulatory, and operational matters. This role will partner closely with senior leaders as a trusted advisor, offering expertise in software licensing, healthcare compliance, and general corporate matters. The successful candidate will negotiate and draft complex agreements including software licensing, professional services, and vendor contracts while ensuring compliance with applicable laws, including HIPAA, HITECH, GDPR, and other healthcare privacy regulations.


In addition to day-to-day counseling, this position will contribute to departmental projects aimed at streamlining legal processes and enhancing operational efficiency. Leveraging AI-powered tools to augment workflows, the Legal Counsel will bring a forward-thinking approach to legal practice, continuously exploring innovative ways to deliver value. Candidates should have a proven track record of building strong internal and external relationships, a collaborative mindset, exceptional communication skills, and the ability to translate complex legal concepts into practical business solutions.

Job Responsibilities:

  • Advisory: Advise on commercial transactions, property, and other legal matters as they arise, including drafting and negotiating software licensing agreements, professional service agreements, non-disclosure agreements, business associate agreements, and vendor agreements
  • Relationships: Building trusted advisor relationships with senior leaders to support our goals and deliver results.
  • Projects: assist with legal department projects as assigned including improving various legal processes on a regular basis
  • Counsel: provide day-to-day counsel on a broad range of legal issues including contract interpretation, intellectual property, regulatory compliance (HIPAA, HITECH, GDPR, and other healthcare and privacy laws), and employment law
  • Compliance: ensure the company is complying with company policies and procedures related to contracting and vendor approval processes

Job Requirements:

Required Education & Experience:

  • JD from ABA accredited law school and admission to the bar in any state
  • 1 to 3 years of relevant experience in a large law firm and/or corporate counsel experience, with a focus on software licensing or healthcare preferred
  • Experience negotiating and drafting a variety of software licensing agreements including OEM and reseller agreements
  • Healthcare experience is preferred, including knowledge of HIPAA, HITECH, other healthcare privacy laws and GDPR
  • Strong analytical and communication skills with proven attention to detail
  • Track record of building positive relationships with internal and external partners
  • Team and client oriented
  • Experience using AI and advising organizations on AI matters
  • Superior written and verbal communication skills to convey complex legal and business concerns to business stakeholders
  • Value driven, high level of EQ, and collaborative mindset, team player

Preferred Education & Experience:

  • Prior experience in a fast-growing environment, ideally in a carve-out or start-up
  • Experience working across different geographically disperse locations
  • Experience working in international law
  • Experience with private equity backed company
