Assistant General Counsel, M&A, Business Development, International
Our Opportunity:
Fast-paced e-commerce company is seeking a Mergers & Acquisitions, Business Development & International Counsel to join its growing legal team in Boston, MA. The successful candidate will have significant experience with M&A, joint ventures and investments and international expansion, and the willingness to expand into other substantive areas to support business needs. This position will be based out of our corporate headquarters in Dania Beach, FL or Boston, MA and report to the Vice President & Associate General Counsel.
What You'll Do:
- Manage all stages of mergers, acquisitions, joint ventures, key investments, and other strategic business opportunities
- Lead performing due diligence, drafting and negotiating term sheets and definitive transaction documents, manage closing transactions, and support post-closing integration
- Provide practical commercial and legal advice to facilitate, improve, and strengthen operational decision-making through integration of legal analysis as part of the overall business development process
- Work with internal clients (Finance, Tax, HR, Regulatory) to identify issues, develop solutions, structure transactions and close acquisitions and investments
- Prepare deal-related Board and Committee materials
- Manage expansion into international markets, including identifying and addressing country specific risks related to foreign ownership and control, corporate governance, SOX compliance, entity management, tax, and human resources
- Partner closely with Treasury to negotiate credit and similar agreements
- Manage complex and sensitive projects with cross-functional teams
- Assist with the preparation and review of reports filed with the SEC including Forms 10-K, 10-Q and 8-K, the proxy statement and Section 16 reporting, as well as related-NYSE rules and regulations
- Assist on other matters as needed
What You'll Need:
- 10+ years legal experience practicing as a mergers and acquisitions attorney in a law firm and/or in-house legal department; experience within the technology, ecommerce and/or retail industries a plus
- Sound business judgment and decision making in balancing risk, opportunity, and business objective
- Strong interpersonal skills, capable of building relationships with and influencing client groups
- Ability to successfully manage multiple priorities in a fast-paced environment
- Highly organized and ability to work both independently and as a member of a team
- Experience with international expansion, preferred
- Law degree from top-tier law school
- Member in good standing in Florida or eligible for Florida In-House Exemption
- Intellectual curiosity; Willingness to take on new challenges
- Some travel required (especially if located in Boston)
