The Counsel – Institutional Markets Legal will join the Global Atlantic Institutional Markets Legal team, advising our growing businesses on corporate governance and insurance regulation, with a specific focus on supporting KKR’s Bermuda-based insurance businesses.


The successful candidate will work closely with the New York and Bermuda legal teams and the Bermuda-based business team to:   


  • Develop and/or provide guidance with respect to corporate governance and regulatory strategies.  Work with senior leaders across functional areas to implement such strategies.
  • Develop and implement governance and regulatory best practices, including developing processes and forms.
  • Implement annual corporate governance and regulatory goals, including with respect to developing scale, memorializing practices, and refining repeatable processes that maximize the potential for best in class execution.

 

Corporate Governance

  • Develop and lead the corporate governance program for KKR’s Bermuda operating insurance companies and related group-wide entities, including co-investment vehicles sponsored by KKR and its affiliates.
  • Lead legal preparation for quarterly board and committee meetings for holding companies and Bermuda insurance operating companies as well as annual meetings, director orientation, and related sessions as needed.
  • Advise on and draft all corporate governance materials including governing documents, charters, agendas, resolutions, minutes, consents and templates of the foregoing.
  • Lead corporate governance related reporting, tracking and development of processes, including for US, UK, Bermuda and other non-US jurisdictions entities, with the potential for additional jurisdictions to be added.
  • Manage corporate secretarial services, including budgeting and tracking annual spend, and develop best practices for use of such services, including with respect to entity management and reporting matters.
  • Coordinate board preparation internally, working cross-functionally with business teams, tax, finance, HR, and others, to advise on board matters.
  • Advise on interpretations of governing documents and contracts related to corporate governance matters.
  • Assist with investor advisory committee governance.


Regulatory

  • Help manage Global Atlantic’s regulatory relationship with its primary Bermuda regulator, the Bermuda Monetary Authority, and other Bermuda-based regulators.
  • Advise on and/or draft communications to the Bermuda Monetary Authority and other Bermuda-based regulators.
  • Advise on legal and regulatory developments affecting Bermuda-based insurance businesses, working cross-functionally with subject matter experts.
  • Build and maintain partnerships with internal stakeholders as well as contacts within the broader regulatory, legal & and compliance community. 

 

QUALIFICATIONS & NECESSARY SKILLS

  • Juris Doctor degree (JD) (or foreign equivalent) required. 
  • 6+ years of experience in corporate or insurance practice at a law firm. 
  • Bermuda insurance experience a plus.
  • Experience with developing and maintaining relationships with regulators.
  • Experience working with the Bermuda Monetary Authority a plus.
  • Experience managing board and committee meetings, including drafting materials in advance of meetings, preparing agendas and resolutions, and timely drafting minutes and other after-action items. 
  • Experience managing legal team members and outside service providers.
  • Ability to interpret regulations, governing documents and legal agreements.
  • Ability to become an expert on various legal subject matters.
  • Ability to draft corporate governance documents and regulatory filings.
  • Ability to present to directors and C-Suite.
  • Ability to manage competing priorities. 
  • Ability to work across enterprise and present complex matters to senior business leaders. 
  • Ability to work with a geographically dispersed team.
  • Ability to work cross-functionally.  
  • Excellent organization skills and attention to detail.
  • Superior communication skills.
  • Self-starter.
  • Strong work ethic and high level of personal integrity and accountability. 
  • Willingness to travel to Bermuda periodically.

Various jurisdictions have passed pay transparency laws that require companies provide salary ranges for any positions for which they are accepting applications. Global Atlantic has offices in Atlanta, Batesville, Bermuda, Boston, Des Moines, Hartford, Indianapolis, and New York City. The base salary range posted below is inclusive of the lowest cost of living geography to the highest in which we have a Global Atlantic office. 

Global Atlantic’s base salary range is determined through an analysis of similar positions in the external labor market. Base pay is just one component of Global Atlantic’s total compensation package for employees and at times we hire outside the boundaries of the salary range. Other rewards may include annual cash bonuses, long-term incentives (equity), generous benefits (including immediate vesting on employee contributions to a 401(k), as well as a company match on your contributions), and sales incentives.  Actual compensation for all roles will be based upon geographic location, work experience, education, licensure requirements and/or skill level and will be finalized at the time of offer. Compensation for our more senior positions have a larger component of short-term cash bonus and long-term incentives. 

The base salary range for this role is $200,000 — $225,000 USD
