The Counsel – Commercial & Midstream role will play a key part in supporting EQT’s midstream operations and commercial business units. This attorney will be responsible for drafting and negotiating a variety of commercial and operational agreements critical to EQT’s business, advising on transactions, and providing day-to-day legal counsel to business units engaged in gathering, transportation, processing, storage, and marketing of natural gas and NGLs. The Counsel will also assist with transactions related to acquisitions, divestitures, and joint ventures, helping to ensure legal considerations align with commercial objectives. The attorney will report to the Assistant General Counsel of Commercial & Midstream.


The Counsel - Commercial & Midstream responsibilities include but are not limited to:

  • Draft and negotiate a wide range of midstream commercial agreements, including natural gas gathering and transportation agreements, precedent agreements, gas processing agreements, and storage agreements.
  • Provide legal support for midstream infrastructure development and related operational issues.
  • Draft and negotiate gas marketing contracts, including asset management agreements, gas purchase and sale agreements (NAESBs), and general terms and conditions in the NGL and natural gas industries.
  • Provide commercial and midstream support for acquisitions, divestitures, and joint ventures, including due diligence and assist with integration activities.
  • Prepare and negotiate parent company guarantees and confidentiality agreements.
  • Collaborate with commercial teams to develop strategies that align legal considerations with business objectives while managing risk.

Required Experience and Skills:

  • 5+ years of legal experience, with a strong focus on the energy industry, particularly in midstream and gas marketing.
  • Experience drafting and negotiating commercial and operational agreements within the midstream and commercial sectors, including the types of agreements identified above.
  • Juris Doctorate from an accredited law school and licensed to practice law in the United States.
  • Strong analytical, communication, and interpersonal skills, with the ability to work collaboratively across business units and manage multiple priorities in a fast-paced environment.
  • Proven ability to exercise sound judgment and deliver practical, solution-oriented legal advice that effectively balances legal and business considerations.
  • Travel up to 10% of the time.

Preferred Experience and Skills:

  • Prior experience working at a law firm and/or in-house legal department within the energy industry.
  • Familiarity with leveraging technology and legal operations tools to manage and prioritize workload efficiently.
  • Knowledge of regulatory considerations applicable to the midstream and natural gas marketing sectors.

Remote work is being considered for this role excluding the following states:  California, Connecticut, Delaware, Illinois, Indiana, Louisiana, Massachusetts, Michigan, New Jersey, New York, and Tennessee unless willing to relocate.


Selected incumbent will be placed into the position that best suits their abilities and experience level.
