Cell Signaling Technology, Inc. (CST) is seeking a Corporate Paralegal. This individual will serve as a key member of the Legal department responsible for managing and administering worldwide corporate governance and compliance. The position reports to the General Counsel and works throughout the organization to accomplish tasks supporting corporate governance and compliance initiatives.

- Manage, maintain, and coordinate global governance documents required for the operation of domestic and international entities.
- Independently draft and manage required corporate governance and compliance policies and procedures, and administer related training.
- Create, implement, and monitor governance processes and provide ongoing support to the business.
- Update and maintain global legal entity organizational charts and the company’s legal database.
- Perform routine administrative tasks including filing, corresponding with internal and external clients, maintaining electronic copies of all legal documents, and controlling access to authorized individuals.
- Prepare and file forms with government agencies for the purpose of obtaining information for legal entities and/or ensuring compliance with legal requirements.
- Support projects and initiatives to refine and revise global corporate governance and compliance policies to respond to changing legal landscapes and to meet the needs of the business.
- Collaborate closely with colleagues in Legal, HR, Finance, External Auditors, and other core functions to direct governance issues through the appropriate channels for investigation and resolution, as well as work towards future improvements.
- Review draft agreements and other documents in accordance with directions from legal counsel.
- Other tasks as directed by the General Counsel.
Who you are and what you bring to the team...
- Associate degree or Paralegal certificate.
- 10+ years within the Legal field, though a combination of in-house and law firm.
- Notary Public license or willingness to become a notary.
- Authorization to work in the United States without restriction or sponsorship.
- Strong computer and organizational skills and attention to detail.
- Excellent oral and written communication and critical thinking skills.
- Ability to work independently and as part of a team and maintain a positive attitude.
- Willingness to learn new skills, perform multiple tasks simultaneously, keep accurate records, follow instructions, and comply with company policies.
- Proficiency with NetDocs, Legal Tracker, Google Suite, and Microsoft Office.
- Solid understanding and demonstration of confidentiality obligations.
- Ability to adapt to changes in the work environment, manage competing demands and deadlines, and deal with change, delays, or unexpected events.
