As Corporate Counsel at Dropbox, you'll handle M&A, venture capital, securities law, and governance, negotiating agreements, and managing legal projects.
Role Description
As Corporate Counsel with Dropbox, you’ll have a broad range of responsibilities, and will be a trusted advisor to the company on issues relating to M&A, venture capital investing, securities law, and corporate governance. You’ll also have the opportunity to work with our commercial legal team to negotiate complex commercial agreements with our customers, suppliers, and strategic partners. We’re looking for someone with an ownership mindset, drive, professional judgment, and excellent communication skills. You’ll take the lead on critical projects, help shape Dropbox’s future through high-impact transactions, and have opportunities to grow and evolve based on your interests and the company’s evolving needs.
Responsibilities- Drive the corporate legal function and lead cross-functional teams across a range of transactions including mergers and acquisitions, strategic investments, and financings.
- Support SEC reporting and securities law compliance, including in connection with the preparation of our periodic reports, registration statements, proxy statements, and other materials.
- Support corporate governance matters, including meetings of our Board of Directors and its committees, and our stockholders.
- Work collaboratively and responsively with a broad range of colleagues across functions, including Corporate Development, Finance, Accounting, Investor Relations, Tax, Treasury, HR, Communications, and EquityOps.
- Stay current on corporate governance trends, best practices, SEC, and Nasdaq developments, including research or benchmarking projects.
- Support company projects relating to legal and equity related compliance efforts, treasury, our stock repurchase program, and global subsidiary formation and maintenance.
- Effectively manage and lead outside counsel.
- 3-6 years of corporate legal experience in a relevant setting (law firm and/or prior in-house experience)
- Comfortable quarterbacking strategic transactions and leading cross-functional teams, with demonstrated sound legal judgment and business-oriented approach
- Self-motivated and proactive with ability to prioritize and manage multiple projects
- Highly collaborative and intellectually curious with a team-first mentality
- Detail-focused with strong organizational and ability to communicate complex issues clearly and concisely
- Comfortable navigating complex issues
- JD, admitted to the Bar, distinctive academic record
- Subject area expertise (at a level appropriate for a mid-level associate in a law firm environment) in either M&A transactions (preferred) or debt finance transactions
- Experience representing public companies, particularly with respect to securities law compliance and/or reporting
- Experience representing companies in the technology/SaaS space
Canada Pay Range
$170,000—$230,000 CAD
