The Corporate Counsel will be expected to perform a wide variety of hands-on legal work supporting Veracode’s worldwide legal team and various commercial functions.  The Corporate Counsel will have excellent commercial acumen and develop a deep understanding of the company’s business and commercial drivers, including the ability to evaluate and balance risk in providing business-oriented advice.

Key Responsibilities:

  • Draft and/or negotiate and successfully conclude a variety of contracts, including Software as a Service (SaaS), software licensing, Federal and SLED, confidentiality, services, partner, vendor and consulting agreements;
  • Assist with request for proposals including advising on licensing terms;
  • Provide advice on US employment law issues and assist EMEA counsel on international employment law issues;
  • Assist in the management of the Company’s ESG program;
  • Assist in the review and conclusion of real estate leases and lease terminations;
  • Perform license compliance and security reviews;
  • Contribute to company staff training on a variety of topics including corporate governance;
  • Assist with legal department projects as assigned, including efforts to develop, implement and drive process-oriented improvements;
  • Provide general, business-oriented day-to-day legal advice; and
  • Carry out or assist with other related duties, as needed.

Qualifications

  • 4-7 years of experience in an in-house setting.
  • JD from an accredited US law school.
  • Admitted to a state bar and in good standing.
  • Demonstrated ability to manage legal risks for complex commercial transactions.
  • Experience with SLED and federal contracting.
  • Employment law experience.
  • Strong drafting, negotiation and communication skills.
