Zipliens is a leading lien resolution company that specializes in streamlining the lien process for personal injury law firms. We are looking for proactive, results-driven individuals to join our dynamic team.

Right now, our corporate legal work is spread across outside counsel and handled across the business as needs arise. We're ready to bring that work in-house — and we want one strong, versatile attorney to own it.

This is a build role, not a maintenance role. You'll stand up the templates, processes, and playbooks that don't exist yet, and you'll have the autonomy to do it your way. On commercial contracting and employment matters, you won't be waiting for a partner to sign off on your judgment — you'll be the judgment. On financing and capital markets, you'll work hand-in-hand with a CFO, sharpening the legal thinking and the redlines rather than running deals solo.

RequirementsResponsibilities:
  • Own commercial contracts — client and law-firm agreements, vendor and supplier contracts, NDAs, business associate agreements, and SaaS/technology agreements — building templates that turn routine deals into same-day turnarounds.
  • Own recurring financing and commercial financing work (funding and advance agreements, working-capital-adjacent contracts, intercompany terms) end-to-end; partner closely with the CFO on larger credit facilities and capital-markets matters, reviewing term sheets and loan agreements, sharpening redlines before documents go back to outside counsel.
  • Manage employment and HR legal work — policies, offer and separation documents, restrictive-covenant drafting and strategy, and day-to-day employment questions — partnering closely with our HR leadership, and serving as the internal advocate in our relationship with outside employment counsel by sitting in on complex matters and translating legal reasoning into a practical internal path forward.
  • Corporate governance — build deep, working fluency in our operating agreement, shareholder agreements, and cap table, and become the internal point of reference on governance questions such as board versus shareholder decision authority, various shareholder classes, including entity structure maintenance and board/resolution support.
  • Handle basic intellectual property and trademark protection, including for our technology products.
  • Manage all outside counsel relationships as the single point of contact — scoping and managing engagements and spend, consolidating the panel, and pulling routine work back in-house over time.
Qualifications:
  • Approximately 4–7 years of corporate legal experience, ideally from an AmLaw 100 firm or a setting with comparable rigor and training.
  • J.D. and active bar membership in good standing.
  • A corporate, finance, or transactional background — you've actually drafted and negotiated financing and commercial agreements, not just reviewed documents.
  • Prior experience at a private-equity-backed company and M&A Transactions.
  • Strong corporate fundamentals and the range to operate as a generalist across contracts, employment, and governance — with the judgment to know when to handle something directly versus loop in the CFO or outside counsel.
  • A bias toward action and fast turnaround, matching effort to stakes.
  • Comfort operating with autonomy as the only in-house lawyer, with outside counsel as support.
  • A pragmatic, business-first mindset: clear answers and practical paths forward, not just lists of risks.
  • A genuine desire for an in-house generalist role and a sustainable pace — not simply an exit from law-firm hours.

Pay Disclosure: The total base salary range for this role is $150,000 - $200,000 annually, with opportunity for a discretionary bonus. Final compensation will be determined based on skills and experience.

Work Authorization: Applicants must be authorized to work in the United States without the need for employer-sponsored visa support now or in the future.
