About the Position
Cardlytics is looking for a Commercial Legal Director to join our Legal team. You will serve as a key legal partner to our commercial, sales, and partnerships teams, helping draft, negotiate, and close a wide range of technology, data, and partnership deals. You'll bring a pragmatic, business-minded approach to managing risk, and help scale a platform that connects banks, publishers, and advertisers.

The Commercial Legal Director will report to the Chief Legal and Privacy Officer and will work cross‑functionally with stakeholders across Sales, Partnerships, Product, Engineering, Finance, and People.

You will

  • Draft, review, and negotiate a wide range of commercial agreements, including SaaS/platform agreements, publisher agreements, data and licensing agreements, marketing and media insertion orders, NDAs, and strategic partnership contracts with some of the largest financial institutions and technology companies in the world.

  • Gain deep technical understanding of data flows and technology to advise on innovative commercial deal frameworks.

  • Advise internal stakeholders on commercial and contractual risks, providing clear, practical guidance that balances risk with business objectives.

  • Partner with Sales, Partnerships, and Product teams to support deal structuring, product review and contract execution.

  • Help maintain and improve contract templates and playbooks that drive consistency and speed across the business.

  • Identify, research, analyze, and work with cross-functional teams to address potential risks related to a wide range of relevant legal topics (e.g. commercial, data security, and privacy laws).

  • Contribute to Legal team process improvements and knowledge management as the team continues to scale.

You have

  • Juris Doctor from an accredited law school and active membership in at least one U.S. state bar in good standing.

  • 8+ years of combined experience practicing law, with a focus on commercial transactions at a law firm, in‑house at a technology company, or a combination of both.

  • Experience drafting and negotiating commercial and technology agreements, ideally including SaaS, data, advertising, and/or partnership deals and deals with financial institutions and large technology companies

  • Deep understanding of privacy, data governance, and AI, including expertise in the EU AI Act.

  • Strong business acumen, with the ability to understand product and commercial strategies and translate them into practical legal advice.

  • Excellent communication, drafting, and negotiation skills, with the ability to influence and build trust with stakeholders at all levels.

  • Experience working in a fast‑paced, high‑growth environment with competing priorities and tight timelines.

Technical Environment

We primarily use macOS and Google Workspace (Docs, Sheets, Slides). While our preferred platform is macOS, we support both macOS and Windows. Familiarity with or willingness to work within this environment is required.
