What You'll Do:
As Associate General Counsel, Securities, you will support the company’s compliance with securities laws by preparing key shareholder meeting documents and advising on insider trading policies. You’ll collaborate closely with Investor Relations and Communications teams to ensure regulatory compliance in external disclosures. This role involves monitoring legal developments, providing training, and offering practical legal advice on corporate and securities matters in a fast-paced environment.
About The Role:

  • Prepare proxy statement and coordinate matters related to the annual meeting of shareholders.
  • Advise on insider trading policies, pre-clearance procedures, trading windows and Rule 10b5-1 plans. 
  • Review Section 16 filings 
  • Provide legal support to the Investor Relations and Comms/Marketing teams on external communications, including press releases, blog posts, earnings releases and investor presentations, ensuring compliance with Regulation FD and other disclosure requirements.
  • Monitor developments and best practices regarding the securities laws and related policies. Assist in developing and delivering training to employees on relevant legal and compliance topics.
  • Provide ad-hoc legal advice and support on various corporate matters as they arise.

Who You Are:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active bar membership in good standing in at least one US state bar and eligibility to obtain registered in-house counsel status (if required by the State Bar in the assigned location).
  • 5-8+ years of relevant experience practicing securities law at an internationally/nationally-recognized law firm representing public companies or in-house legal department at a public company (a mix of both would be ideal).
  • Strong knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934 and related SEC rules and regulations.
  • Excellent written and verbal communication skills, with the ability to translate complex legal concepts into clear, actionable advice for business teams.
  • Highly organized, detail-oriented, and able to manage multiple projects simultaneously under tight deadlines.
  • Ability to work independently and collaboratively within a team environment.
  • Experience in the technology industry, particularly with SaaS or cloud computing business models, is a plus.

The base salary range for this role is $198,000 to $264,000. The starting salary will be determined based on job-related knowledge, skills, experience, and market location. We strive for both market alignment and internal equity when determining compensation. In addition to base salary, our total rewards package includes a discretionary bonus, equity awards, and a comprehensive benefits program (all based on eligibility).

Our Workplace

While we prioritize a hybrid work environment, remote work may be considered for candidates located more than 30 miles from an office, based on role requirements for specialized skill sets. New hires will be invited to attend onboarding at one of our hubs within their first month. Teams also gather quarterly to support collaboration
