The Associate General Counsel-Contracting provides comprehensive legal guidance in contractual matters, working with internal and external teams to draft, negotiate, and resolve contract issues. The Associate General Counsel – Contracting provides support and representation to EmVenio Clinical Research and Professional Case Management (the “Company”) by providing comprehensive legal guidance in all contractual matters both nationally and internationally. This position will work with (i) business leads to review, draft, analyze, negotiate, and finalize contracts, and (ii) legal department lawyers and outside counsel to analyze and address issues which may arise in connection with the Company’s operations and contracts.
QUALIFICATIONS:
- Juris Doctor degree from an accredited law school and a member in good standing of the Colorado Bar or the Bar of the supreme court of the state in which he or she practices.
- A minimum of 8 years of legal practice with a combination of law firm and in-house experience preferred.
- At least 5 years of experience drafting, reviewing, analyzing and negotiating complex legal agreements.
- Proven track record of exercising excellent judgment on behalf of clients in complex contract, negotiation and dispute resolution matters.
- Demonstrated discretion handling sensitive and confidential information.
- Excellent written and oral communications skills in public and private settings with diverse audiences; ability to translate complex contract issues at all levels of an organization.
- Strong interpersonal skills, including diplomacy and flexibility, and the ability to engender trust and confidence with team members, staff, customers, clients, regulatory officials, and external audiences.
- Enthusiasm and “self-starter” qualities with an appropriate sense of urgency.
- Business acumen, including a well-developed understanding of business processes and procedures.
- Ability to work independently, cross-functionally and collaboratively.
ESSENTIAL FUNCTIONS/AREAS OF ACCOUNTABILITY:
- Provide timely, strategic and risk-weighted counsel on legal and operational issues to internal stakeholders on a variety of matters, including contracting, licensing, vendor relationships, healthcare and clinical research compliance.
- Review, draft, analyze and negotiate, clinical trial, master service, product supply, technology, licensing, marketing, employment, lease, distribution, confidentiality, non-solicitation, clinician, independent contractor, and other types of commercial agreements.
- Identify and advise business leaders on legal issues, rights and obligations related to contractual arrangements; provide practical, business-oriented legal solutions; and escalate issues appropriately.
- Proactively identify business-oriented solutions for mitigating risk to the Company
- Identify gaps in existing, and prepare new contract templates, policies, procedures, and job aids as required.
- Draft and negotiate applicable flow-down terms and conditions to subcontractors and partners.
- Promptly address and resolve contract disputes as they may arise prior to or in connection with litigation or alternative dispute resolution processes.
- Research international, national, and local laws and regulations to identify requirements that must be followed in local jurisdictions; develop and maintain a repository of such requirements.
- Stay up to date on current developments in the home healthcare and clinical research industries along with the laws, regulations and guidelines governing these industries.
- Prepare and deliver training to executives, clinicians and employees on contract language, negotiation, compliance, best practices, processes and procedures.
- Effectively communicate with all levels of the Company.
- Identify and collaborate with subject matter experts from other departments on projects.
- Communicate in a professional and persuasive manner; provide clear, precise guidance on business, compliance and legal risks; and present legal advice and guidance with the appropriate level of support and substantiation.
- Coordinate with and manage outside counsel on work requiring specialized knowledge.
- Handle a fast-paced and high-volume workload.
- Perform other duties as assigned.
ADDITIONAL KNOWLEDGE & SKILLS
- Experience in a pharmaceutical, biotechnology, or contract research organization (CRO) environment is a plus.
- Prior experience in healthcare law, medical practice regulations and/or clinical research preferred.
- Versed in international contracting and trade terms.
- Motivated, proactive, problem-solver.
- Attention to detail with excellent analytical skills.
- Effective organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously.
- Ability to develop and implement policies, projects, processes, systems and controls across a multi-divisional company.
The typical base pay range for this role is USD $152,600 - $259,900 per year.
Individual base pay depends on various factors, in addition to primary work location, complexity and responsibility of role, job duties/requirements, and relevant experience, skills and other market-based factors.
