Job Overview

The Associate Counsel – Commercial Transactions, works under the Director, Legal – Commercial Transactions.
Primary Objective: Support the Commercial Transactions team as the subject matter expert on the company’s vendor transactions and other procurement activities by negotiating vendor contracts and analyzing risks in vendor contracting.
Secondary Objective: Support customer commercial transactions as a member of the Legal – Commercial Transactions team. Support the Legal Operations Manager with special projects, including legal process improvements for the procurement lifecycle.
This position is well-suited for a smart, detailed oriented, professional who enjoys (a) working in a fast-paced environment (b) closing a high volume of transactions, (c) interacting with a variety of stakeholders, and (d) managing and providing input on processes that are efficient and scalable.

Job Description and Requirements

Role Responsibilities:

  • Act as the principal legal support for vendor contracts by reviewing and negotiating vendor contracts. Related tasks include communicating deadlines, requirements, and partnering to address contract-related issues with the procurement, risk management, security, IT and privacy teams; managing legal queue of contracts for review; managing stakeholder and vendor communications with the procurement team; engaging with other members of the legal team on contract review; engaging with vendor counsel in negotiations. Transactions may include inbound enterprise and SAAS software contracts, company event contracts, consulting and professional services agreements, equipment and supply contracts, statements of work, and purchase orders.  

  • Suggest, work on, and, where opportunity arises, lead on improvements in processes, e.g. collaborate closely with procurement team in a procure-to-contract tool, manage the legal contract process in a CLM tool, update or create standard forms or variations, which may include creating efficiencies in contracting, work with other stakeholders, and create documentation for processes through the utilization of genAI tools 

  • Become a hero to our internal stakeholders, departments or groups by quickly reviewing or preparing a variety of agreements, including providing support for customer agreements where time and opportunity allow, and providing focused, value-adding, comments on key issues by quickly and accurately responding to/negotiating or generating a challenging volume and variety of contracts - ranging from straight-forward to complex. This important role keeps our business moving and our systems operating 

  • Assist in the administration of our internal approval workflow system, prioritize contracts, and respond to or appropriately triage questions. 

  • Be a pinch hitter to help out as time permits and needs arise in supporting the Legal and Legal Operations teams with projects, which may include collaborating to support customer commercial deals, creating efficiencies in contracting, process improvements, working with other stakeholders, and updating forms. 

  • Skilled knowledge working with DocuSign, MSFT Office, Salesforce, Contracts Management System (Ironclad). 

Preferred Qualifications:

  • Three or more years of high-quality relevant experience as part of a legal team. 

  • Strong organizational skills and attention to detail. 

  • Intelligence, flexibility, creativity, diligence, responsiveness, and excellent communications skills. 

  • Required: Experience negotiating a variety of commercial contracts, including SaaS agreements, consulting and professional services, sponsorship agreements, general services contracts, on-prem software contracts, equipment and supply contracts, statements of work, and purchase orders. 

  • Required: Experience working with procurement, internal stakeholders and business teams, negotiating contractual legal terms, and identifying and assessing contractual risks and impacts.   

  • Desirable but not required: Background in information technology or procuring information technology. 

  • Desirable but not required: Experience working as a litigator or part of a litigation team. 

  • Desirable but not required: Experience working with contract management systems. 

  • Ability to research and analyze legal issues, and solid proficiency with MS Word 

Minimum Qualifications:

  • Legal degree (licensed attorney-at-law or admitted solicitor) with good grades from a good school. 

  • Strong organizational skills and attention to detail. 

  • Intelligence, flexibility, creativity, diligence, responsiveness, and excellent communications skills. 

  • Reasonable exposure to computer and software technology concepts. 

  • Solid proficiency with MS Office, and Salesforce.

This position is eligible for total compensation which includes a competitive base salary, an annual performance bonus, and long-term incentives.

The expected salary range for this role is between following values:

$131,000 and $197,000

The final offered salary will be based on several factors, including but not limited to the candidate's depth of experience, skill set, qualifications, and internal pay equity. Hiring at the top end of the range would not be typical, to allow for future meaningful salary growth in this position.
