What You’ll Do:  

BRUNT is seeking a strategic and business-minded Assistant General Counsel to join our team. Reporting directly to the Chief Financial Officer and working closely with the VP of Finance/Controller, this role will serve as a key partner in driving the company’s legal strategy and ensuring compliance in a fast-paced environment.

The ideal candidate brings a blend of minimum 5 years of legal experience, with at least 3 years in a law firm setting, complemented by in-house corporate counsel experience. This individual should have demonstrated experience supporting venture capital or private equity transactions, such as managing rounds of funding, and must be comfortable operating within a highly collaborative, entrepreneurial team.

How You’ll Do It:

  • Legal Strategy & Risk Management: Lead the development of legal strategies that align with business objectives. Proactively manage legal risk across all aspects of the business.
  • Corporate Transactions & VC/PE Management: Ability to provide legal support on capital raising activities, including equity financings and investor relations. Lead legal due diligence and work directly with investors, external counsel, and finance leadership.
  • Contract Oversight: Draft, review, and negotiate a broad range of agreements including vendor, supply, partnership, and employment agreements.
  • Outside Counsel Management: Oversee and coordinate with external legal counsel across all practice areas. Ensure cost-effective legal support aligned with company goals
  • Equity & Governance: Manage legal aspects of equity administration and corporate governance. Maintain accurate board minutes, minute books, and other corporate records.
  • Litigation Correspondence: Manage all correspondence and documentation related to ongoing and potential litigation, including drafting legal briefs, responses, and other legal documents. Coordinate with external legal counsel to ensure effective handling of legal disputes and keep senior leadership informed about litigation status and strategies.
  • Document Organization: Maintain and organize a comprehensive legal document repository, including contracts, agreements, corporate records, and regulatory filings. Implement systems for document management and ensure that legal documents are up-to-date, accessible, and compliant with company policies and legal requirements.

What You Need to Succeed:  

  • Experience: Minimum of 5 years of experience at a reputable law firm, with a focus on corporate law, compliance, and regulatory matters.
  • Education: Juris Doctor (JD) degree from an accredited law school, with admission to practice law in Massachusetts.
  • Consumer products or DTC/eCommerce industry experience is preferred but not required. Mainly to oversee Website & Privacy Compliance: Ensure digital assets (e.g., website, apps) comply with privacy regulations (e.g., CCPA, GDPR) and IP standards.

General Skills:

  • Ability to draw on experience in IPO-readiness initiatives and should the need arise, ensure compliance with public company regulations, SEC reporting, and disclosure obligations.
  • Ability to manage multiple priorities and work effectively in a fast-paced, high-growth environment.
  • Proven track record of building and improving legal processes and controls.
  • Experience in working closely with senior leadership and external partners.
