Nuance is continuing to grow our Enterprise Global Deal Optimization Team (GDOT) nationally and looking to hire another Contract Negotiator.  This individual will work out of our Burlington, MA HQ facility once the company returns to normal working conditions post pandemic (expected sometime in the firs thalf of 2021).  They will be working closely with our clients and various members of internal teams in establishing and updating agreements that provide the full suite of our Nuance Enterprise solutions to our clients.  This position will report to the VP of our Enterprise Global Deal Optimization Team.

 

 

Principal Duties and Responsibilities:

  • Provide first line legal support to all Nuance Enterprise business units in the US and Canada.
  • Focus particularly on the drafting and negotiation of varied and complex contracts with end customers and channel partners, including: hosted service offerings and related documents (e.g., schedules, orders and information security agreements, amendments), SOWs, software licenses and professional services agreements (SaaS).
  • Ensure all Business Associate Agreements (BAAs) and Non-Disclosure Agreements (NDAs) are compliant per our Contract Negotiator Playbooks.
  • Collaborate with Enterprise Legal on drafting and negotiation that requires Legal oversight based on both guardrails and self-assessment of needs.
  • Provide contractual advice, training, and general guidance within GDOT and cross-functionally to Sales, Finance, Technical Revenue Accounting, and others, as needed.
  • Work closely with in GDOT and other cross functional departments such as Finance, Sales and Sales Operations teams to facilitate the processing of Sales deals.

 

Qualifications:

 

Education: BA/BS degree or Paralegal Certification

 

Years of Experience: 3+ years of work experience

 

 

Required Experience:

  • Solid experience with service contract reviews, drafting, negotiating terms and identifying/coordinating legal escalations when needed (ideally in the IT sector)
  • Experience in providing risk assessment regarding organizational exposure based on proposed contract terms
  • Well-developed communication skills and experience interacting regularly with clients
  • Excellent time management skills
  • Team player with flexible, pragmatic approach and sound business acumen
  • Ability to multi-task and work with a substantially high degree of independence, initiative and decisiveness

 

Desired Experience:

  • Contract Management Systems experience
  • Paralegal certification/experience
  • Strong negotiation skills in "customer facing" transactions
