This position reports to the Senior Director, Legal Counsel (Healthcare commercial legal team), and supports Nuance's Healthcare sales team in the US and Canada. The Legal Counsel's role will focus primarily on drafting and negotiating complex commercial transactions involving cutting-edge technology solutions as part of a multi-disciplinary negotiation team consisting of GDOT (global deal optimization team), sales, finance, product management, order management, information security and data privacy. Typical customers are hospitals, medical offices and companies providing medical and related support services. The primary work location will be based out of one of our US hub locations once we return to working from the office in: Burlington, MA; Mahwah, NJ; Melbourne, FL; or Agoura Hills, CA.
Principal duties and responsibilities

  • Draft and negotiate varied and complex company and customer paper Healthcare master agreements, reseller agreements, collaboration agreements, software license, SaaS and/or hosted service agreements, information security agreements, Business Associate Agreements, data privacy agreements and related amendments and schedules, with Hospitals, business customers and large multinational distributors and resellers.
  • Draft and negotiate inbound technology license and/or acquisition agreements for technology to be integrated with or utilized by new or existing Healthcare products/services.
  • Provide legal advice to internal teams, including GDOT and sales on a day-to-day basis.
  • Close co-operation with GDOT, the revenue finance team, sales operations team and various members of Nuance's Healthcare business management team.
  • Draft Healthcare commercial contract templates (new templates and revising existing templates).
  • Provide training to sales, GDOT and related support teams.
  • Draft and update (as part of a designated team) existing legal and contract negotiator playbooks; draft new and supplemental playbooks and/or annexes.
  • Advise and counsel the business on the various legal issues and risks, business strategies, complex deal structures, approval processes, intellectual property and other issues related to commercial and technology transactions.


Qualifications

  • Education: BA or BS and JD from an accredited law school
  • Licensed to practice law in the United States, preferably Massachusetts or New York
  • 3-5 years' experience in commercial contracts, specific to technology and/or healthcare


Required skills:

  • Flexibility and willingness to work on a broad variety of commercial contracts and related legal matters.
  • A non-hierarchical and low ego team-player who is comfortable operating in an entrepreneurial and fast-paced environment and used to very busy peak times at quarter ends, with a willingness to put in the extra time (as needed) during these peak times.
  • Individual with good judgment who is pragmatic, collaborative and solution oriented. A genuine business partner who will provide commercially focused advice which balances appropriate legal risk management with the need to enable and support the business.
  • Bright, self-confident, self-motivated, energetic, well-organized, and proactive, flexible self-starter and multi-tasker.
  • Demonstrable ability to understand technical issues quickly; possessing strong analytical and problem-solving skills and demonstrating a strong ability to prioritize.
  • Self-confident yet affable, flexible and open-minded in working with a broad range of individuals/business disciplines.
  • Expert with MS Word and Windows; competent with Excel and PowerPoint.


Preferred skills:

  • Strong negotiation skills for the purpose of educating and persuading others and negotiating contracts.
  • Experience providing legal support to a sales team and internal support teams.
  • Knowledge of revenue recognition rules.
  • Knowledge regarding data privacy and information security.
  • Knowledge regarding AI.
  • Ability to provide creative contract drafting solutions/alternatives during contract negotiations to enable the business units to meet business deadlines and at the same time reasonably protect the company.
