Job Description
The Paralegal, Compliance & Corporate position will support the Netcracker Legal team, with a focus on compliance and corporate matters at Netcracker’s global headquarters in Waltham, MA.
Major Duties & Responsibilities:
Compliance:
- Assist with the development and implementation of Netcracker’s ethics and compliance programs in a confidential and confident manner.
- Provide research and analysis for a variety of compliance and legal matters.
- Help ensure compliance with international, federal, state, and local laws.
- Maintaining investigation files and documentation.
- Assist with the compliance monitoring process.
- Develop and manage various compliance related databases.
- Provide reports as required.
- Prepare compliance materials and presentations.
- Create legal summaries and recommendations.
Corporate:
- Manage, organize and track legal entities.
- Prepare various documents and forms including corporate resolutions, board consents, operating agreements, powers of attorney, Secretary/Share Ownership Certificates.
- Assist with entity formations/registrations and liquidations.
- Manage the selection and appointment of directors and officers, in coordination with outside counsel.
- Assist with preparation and filing of annual regulatory filings for domestic and international subsidiaries.
- Review invoices from registered agents to ensure conformity with company guidelines.
- Keep and maintain up-to-date minute books and other corporate governance materials.
- Communicate with various state agencies as necessary (Secretary of State; Department of Revenue, Department of Labor).
- Coordinate executive and subsidiary director signatures on a variety of corporate documents.
- Draft and maintain up-to-date worldwide corporate structure charts and global subsidiary lists.
- Obtain certified copies of corporate documents and certificates of good standing when requested
General:
- Respond to inquiries from internal sources.
- Compilation of various data and reports using Microsoft Office.
- Perform other functions such as proofreading, redlining, preparing indices for documents, maintaining and updating form files, organizing and maintaining reference materials and databases.
- Educate sales and customer solutions teams in terminology, policies and processes.
- Perform other duties as assigned.
Experience:
- 3-10 years working in a legal department with strong experience in corporate and compliance matters
- Experience working in a global company

- Proficient with Microsoft Word, Excel, and PowerPoint applications.

Education:
- Bachelor’s degree or equivalent
- Paralegal qualification is preferred
