Reporting to the Chief Legal Officer of Intralinks, the Americas Head of Legal, will provide high-quality, practical legal advice and counsel to the company on a wide range of legal issues, transactions and business risks, including those related to the company’s business operations, employment, corporate governance, and intellectual property. This position will also supervise legal staff in North America and provide support for domestic and international corporate legal work and other legal assignments as directed by the Chief Legal Officer. While the individual in this role will have access to guidelines and solicit input from the Chief Legal Officer and colleagues, this position requires the use of both sound legal and business judgment, with latitude for individual judgment and creativity.

Essential Functions

  • Interact with managers and employees at the company’s North America locations and other managers globally, playing a key role in identifying potential obstacles and in helping move each sales opportunity forward
  • Negotiate software licenses, SaaS agreements, service agreements, nondisclosure agreements, and other technology and business agreements with customers, corporate partners and suppliers
  • Evaluate and provide advice on issues and complex global transactions such as those involving data privacy, data security, partnerships, and intellectual property rights
  • Provide proactive counsel to protect the company against legal risks arising in various jurisdictions
  • Manage or support governance and compliance activities in jurisdictions where the company operates, working with local counsel or agents as needed
  • Develop and support the continuous improvement of standard form agreements, non-standard provisions, policies, and legal processes, as well as localized forms and contracts
  • Work closely with the Global Marketing team and act as the primary contact for providing legal support to the Global Marketing team
  • Manage disputes and litigation/arbitration
  • Work closely with the company’s managers and Human Resources team on addressing employment and related matters
  • Work closely with outside counsel regarding case budgets, case strategy, and case resolution, while also driving and supporting efforts to reduce outside counsel expenditures
  • Manage and develop legal and contract management staff in North America

Additional Functions

  • Provide education and training of sales force and other staff on legal and compliance policies and procedures
  • Make recommendations which may have an important bearing on the conduct of the company’s business
  • Investigate local laws and provide recommendations on any legal area as may be asked by management from time to time
  • Participate in local management meetings as may be required or advisable
  • Handle other job-related duties that may be assigned by management from time to time
  • Proactively contribute to any opportunity to improve the company’s legal and business operations
  • Occasional travel required

Qualifications

  • Law degree from an accredited law school and admitted to practice law in New York or Massachusetts
  • Minimum of 9 years of legal experience, including at least 5 years in a legal in-house role dealing with transactional sales-based agreements in a fast-paced environment
  • Experience in handling employment-related matters
  • Significant experience with SaaS/Cloud technology companies and agreements
  • Strong communication and persuasion skills and the ability to gracefully handle pressure from internal clients
  • Self-motivated; able to work both independently to complete tasks and respond to department requests, as well as collaborating with others to utilize resources and knowledge of others in identifying high-quality solutions
  • Excellent planning skills, ability to effectively manage priorities for self and team to meet business requirements and deadlines in a dynamic and fast-paced environment
  • Supervisory experience with legal and contract management staff
