Contracts Attorney

You will be expected to build positive working relationships both internally and externally, work cross-collaboratively, and represent SmartBear's interests in M&A activity, vendor negotiations, and more. Responsibilities
- Manage and coordinate the full contracts lifecycle including contracts management, contract request, contract initiation, contract review, approval, routing, and storage and record keeping, in a high-volume environment with quick turnaround times and SLA’s.
- Draft, review, negotiate, and finalize commercial Software Licensing Agreements (both SaaS and On-Premise), Non-Disclosure Agreements, Data Processing Addendums, and Vendor Agreements.
- Provide concise and timely legal advice to business stakeholders.
- Maintain, organize, and update the central contract repository and provide appropriate reporting.
- Route contracts for signature leveraging DocuSign.
- Answer RFP’s and update and enhance contracts playbook.
- Process purchase orders and invoices of law firms and legal vendors
- Provide general administrative and legal support to Legal team to further company objectives.
Required Experience & Skills
- 6+ years’ experience in a software company handling software license agreements .
- Proven experience handling a large volume of contracts.
- JD from an accredited law school and good standing with a State bar.
- Experience drafting, reviewing and negotiating software license agreements.
- Highly organized, detail oriented and able to meet deadlines in a multi-task, fast-paced environment.
- Strong work ethic with an ability to work independently as well as with cross functional teams.
- Ability to handle, respond to and execute flawlessly multiple tasks and projects in a fast-paced environment, under tight deadlines.
- Excellent written and verbal communication skills.
- Ability to provide excellent customer services across cross functional teams and prioritize workload effectively.
- Legally authorized to work in the United States
